Common use of Proof of Authorization Clause in Contracts

Proof of Authorization. 5.3.1 Prior to placing orders on behalf of the End User Customer, each Party shall be responsible for obtaining and maintaining Proof of Authorization (POA) as required by applicable federal and state law, as amended from time to time. 5.3.2 In the event of an alleged unauthorized change, the Party requesting the change shall make the POA available to the other Party in accordance with all Applicable Laws and rules and shall be subject to any penalties contained therein.
