Proprietary Rights and Licenses. For each Advertiser whose Program You have been accepted to, CJ grants to You a revocable, non-transferable, royalty free, international sublicense to display and Link to the Advertiser's Web site or Web site content, and all trademarks, service marks, tradenames, and/or copyrighted material ("Content"), from each of Your Web Sites and/or subscription e-mail for the limited purposes of Promoting the Advertiser's Program and subject to the terms and conditions of this Agreement. The foregoing rights are sub-licensable by You to Your Sub-Publishers only if authorized by Advertiser on its Information page or by written permission. Your/Your Sub-Publisher's sub-license is conditioned upon You/Your Sub-Publishers'(as the case may be): (a) not otherwise copying nor modifying, in any way, any icons, buttons, banners, graphics files or Content that is made available to You through the Network Service pursuant to the such sublicense; and (b) not removing or altering any copyright or trademark notices. You grant to CJ a revocable, non-transferable, royalty free, international license to display on and distribute from CJ's Web site Content that You provide to CJ through the Network Service for the limited purposes of promoting You to Advertisers, subject to the terms and conditions of this Agreement and the Advertiser's Advertiser Service Agreement. The right to display such Content sub-licensable by CJ to Your Advertisers, for the limited purpose of advertising that You are a member of Advertiser's Program. Your Advertisers may not distribute and/or sublicense Your Content unless authorized by Your written permission. CJ and sub-licensees shall not otherwise copy nor modify, in any way, any Content that You have made available through the Network Service pursuant to the foregoing license. CJ and the sub-licensees may not remove or alter any copyright or trademark notices. You agree that Your use of any CJ Web site (such as xxx.xx.xxx) and Your use of any CJ Content or Links is subject to the license and terms of use that are available from such Web site ("Terms of Use"). Each party may make statements that it is doing business with the other and use the other's logo with such statements.

All copyright, CJ database rights, trademarks (whether registered or unregistered), design rights (whether registered or unregistered), patent applications, patents, and other intellectual property rights of any nature in the DOORDASH platform together with the underlying software code and any and all rights in, or derived from the DOORDASH platform are proprietary and owned either directly by DOORDASH or by DOORDASH’s licensors and are protected by applicable intellectual property and other laws. CONTRACTOR agrees that they will not use such proprietary information, materials, or intellectual property rights in any way whatsoever except for by use of the DOORDASH platform to perform the Contracted Service in compliance with the terms of this Agreement. No portion of the DOORDASH platform may be reproduced in any form or by any means, except as expressly permitted in the terms of this Agreement. CONTRACTOR agrees not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the DOORDASH platform or any intellectual property rights therein in any manner, and CONTRACTOR shall not exploit the DOORDASH platform or any intellectual property rights therein in any unauthorized way whatsoever. 2. DOORDASH hereby grants to You CONTRACTOR a revocablenon-exclusive, non-transferable, royalty freenon-sublicensable, international sublicense revocable license to display and Link use the DOORDASH platform solely for their lawful use to perform the Advertiser's Web site or Web site content, and all trademarks, service marks, tradenames, and/or copyrighted material ("Content"), from each of Your Web Sites and/or subscription e-mail for the limited purposes of Promoting the Advertiser's Program and subject to the Contracted Services in accordance with these terms and conditions of this Agreement. The foregoing rights are sub-licensable by You to Your Sub-Publishers only if authorized by Advertiser on its Information page or by written permission. Your/Your Sub-Publisher's sub-license is conditioned upon You/Your Sub-Publishers'(as the case may be): (a) not otherwise copying nor modifyingDOORDASH retains all rights, title, and interest in any way, any icons, buttons, banners, graphics files or Content that is made available to You through the Network Service pursuant and to the DOORDASH platform and its other intellectual property rights therein. Any such sublicense; license shall terminate upon termination of this Agreement. 3. CONTRACTOR acknowledges and agrees that any questions, comments, suggestions, ideas, feedback or other information (b“Submissions”) not removing or altering any copyright or trademark noticesprovided by CONTRACTOR to DOORDASH regarding the DOORDASH platform are provided freely and shall become the sole property of DOORDASH. For each Advertiser whose DP.C Program that You have been accepted tofor, CJ DP.C grants to You a revocable, non-transferable, non-exclusive, royalty free, international sublicense to display and Link to the Advertiser's Web site DP.C’s Website or Web site Website content, and all trademarks, service marks, tradenames, and/or copyrighted material ("Content"), from each of Your Web Sites Websites and/or subscription e-mail email for the limited purposes of Promoting the AdvertiserDP.C's Program and subject to the terms and conditions of this Agreement. The foregoing rights are sub-licensable by You to Your Sub-Publishers only if authorized by Advertiser on its Information page or by written permissionDP.C in writing. Your/Your Affiliate’s and Affiliate’s Sub-Publisher's sub-license is conditioned upon You/Your Sub-Publishers'(as Publishers (as the case may be): (a) not otherwise copying nor modifying, in any way, any icons, buttons, banners, graphics files or Content that is made available to You through the Network Service pursuant to the such sublicense; and (b) not removing or altering any copyright or trademark notices. You grant to CJ DP.C a revocable, non-transferable, non-exclusive, royalty free, international license to display on and distribute from CJ's Web site DP.C’s Website, all Content that You provide to CJ DP.C through the Network Service for the limited purposes of promoting You to Advertisersthird parties, subject to the terms and conditions of this Agreement and the Advertiser's Advertiser Service Agreement. The right to display such Content is sub-licensable by CJ DP.C to Your Advertisers, third parties for the limited purpose of advertising that You are a member of AdvertiserDP.C's Program. Your Advertisers DP.C may not distribute and/or sublicense Your Content unless authorized by Your written permission. CJ DP.C and sub-licensees thereof shall not otherwise copy nor modify, in any way, any Content that You have made available through the Network Service pursuant to the foregoing license. CJ And DP.C and the sub-licensees may not remove or alter any copyright or trademark notices. You agree that Your use of any CJ Web site DP.C Website (such as xxx.xx.xxxxxx.xxxxxxxxxxx.xxx or xxx.xxxxxxxxxxxxxxxxxxx.xx.xx) and Your use of any CJ DP.C Content or Links is are subject to the license and terms of use that are available from such Web site Website ("Terms of Use"). Each party may make statements that it is doing business with the other party and use the other's logo with such statements, subject to the other party's name and logo usage guidelines.
