Common use of Proprietary Rights Clause in Contracts

Proprietary Rights. The Manager agrees and acknowledges that the Sub-Adviser is the sole owner of the name and xxxx "Xxxxxx, Xxxxxx & Company, L.P." and that all use of any designation consisting in whole or part of "Xxxxxx, Xxxxxx & Company, L.P." (a "Xxxxxx Xxxxxx Xxxx") under this Agreement shall inure to the benefit of the Sub-Adviser. Upon termination of this Agreement for any reason, the Manager shall cease, and the Manager shall use its best efforts to cause the Series to cease, all use of any Xxxxxx, Xxxxxx Xxxxxx & Company Xxxx(s) as soon as reasonably practicable.

Upon termination of this Agreement for any reason, the Manager shall cease, and the Manager shall use its best efforts to cause the Series to cease, all use of any Xxxxxx Xxxxxx Xxxxxxxxxx Xxxx(s) as soon as reasonably practicable.

Proprietary Rights. The Manager agrees and acknowledges that the Sub-Adviser is the sole owner of the name and xxxx "XxxxxxHansberger Global Investors, Xxxxxx & Company, L.P.Inc." and the logo of the Sub-Axxxxxx xxx that all use of any designation consisting in whole or part of "XxxxxxHansberger Global Investors, Xxxxxx & Company, L.P.Inc." (a "Xxxxxx Xxxxxx Xxxx") or such logo under this Agreement shall Axxxxxxxx xhall inure to the benefit of the Sub-Adviser. The Manager on its own behalf and on behalf of the Series agrees not to use any Xxxxxx Xxxxxx Xxxx such designation or logo in any advertisement or sales literature or other materials promoting the Series, except with the prior written consent of the Sub-Adviser. Without the prior written consent of the Sub-Adviser, the Manager shall not, and the Manager shall use its best efforts to cause the Series not to, make representations regarding the Sub-Adviser in any disclosure document, advertisement or sales literature or other materials relating to the Series. Upon termination of this Agreement for any reason, the Manager shall cease, and the Manager shall use its best efforts to cause the Series to cease, all use of any Xxxxxx Xxxxxx Xxxx(s) such designation or logo as soon as reasonably practicable.

The Manager agrees and acknowledges that the Sub-Adviser is the sole owner of the name and xxxx mark "XxxxxxLoomis, Xxxxxx Sayles & Company, L.P." and that all use of any designation consisting xxxxgnxxxxx coxxxxxxng in whole or in part of "XxxxxxLoomis, Xxxxxx Sayles & Company, L.P." (a "Xxxxxx Xxxxxx XxxxLoomis Sayles Mark") under this Agreement xxxx Agxxxxxxt shall inure to the benefit of the Subbxxxxxx xx xxx Xxx-Adviser. The Manager on its own behalf and on behalf of the Series agrees not to use any Xxxxxx Xxxxxx Xxxx such designation in any advertisement or sales literature or other materials promoting the Series, except with the prior written consent of the Sub-Adviser. Without the prior written consent of the Sub-Adviser, the Manager shall not, and the Manager shall use its best efforts to cause the Series not to, make representations regarding the Sub-Adviser in any disclosure document, advertisement or sales literature or other materials relating to the Series. The Manager on its own behalf and on behalf of the Series agrees not to use any Xxxxxx Xxxxxx Xxxx such designation in any advertisement or sales literature or other materials promoting the Series, except with the prior written consent of the Sub-Adviser. The Manager on its own behalf and on behalf of the Series Segment agrees not to use any Xxxxxx Xxxxxx Westpeak Investment Advisors Xxxx in any advertisement or sales literature or other materials promoting the SeriesSeries or the Segment, except with the prior written consent of the Sub-Adviser. Without the prior written consent of the Sub-Adviser, the Manager shall not, and the Manager shall use its best efforts to cause the Series not to, make representations regarding the Sub-Adviser in any disclosure document, advertisement or sales literature or other materials relating to the Series. Upon termination of this Agreement for any reason, the Manager shall cease, and the Manager shall use its best efforts to cause the Series to cease, all use of any Xxxxxx Xxxxxx Westpeak Investment Advisors Xxxx(s) as soon as reasonably practicable.

The Manager agrees and acknowledges that the Sub-Adviser is and its affiliates are the sole owner of the name "Morgan Stanley" and xxxx "Xxxxxx, Xxxxxx & Company, L.P.Miller Xxxxxxox" xxx related xxxxxxx xxxxx and that all use of any designation consisting in whole or part of "Xxxxxx, Xxxxxx & Company, L.P.Morgan Stanley" (a or "Xxxxxx Xxxxxx Xxxx") Miller Axxxxxxn" xx xxy relaxxx xxxxxxx xxxk under this Agreement shall shxxx inure to the benefit of the Sub-Adviser. The Manager on its own behalf and on behalf of the Series agrees not to use any Xxxxxx Xxxxxx Xxxx such designation in any advertisement or sales literature or other materials promoting the Series, except with the prior written consent of the Sub-Adviser.
