Common use of Provision of Products and Services Clause in Contracts

Provision of Products and Services. 2.1 With effect from the Effective Date, Clarivate will provide the Products to and/or shall procure the performance of the Services for Client in accordance with and subject to the provisions of the Agreement but subject to any provisions in the Cover Sheet. 2.2 Client shall at all times: 2.2.1 provide Clarivate in a timely manner with information, specifications or instructions of sufficient detail, accuracy and completeness as reasonably required by Clarivate; and 2.2.2 use all reasonable efforts to perform any additional obligations specified in the Cover Sheet in a timely manner. 2.3 Where any Client Information is the subject of any Product or Service, such Product or Service shall be provided and be valid only in respect of the particular Client Information provided by Client to Clarivate. If any Client Information that is the subject of any Product or Service changes in any way and the Client requires the Product or Service to be provided in relation to such changed Client Information, the Client shall order a new Product or Service in relation to such changed Client Information. 2.4 Client's rights of use of the Products, Services and Content shall be capped at the Usage Cap set out in the Cover Sheet (if any).
