Time and Materials Services. Contractor agrees to pay Supplier the rates set forth in Exhibit D or as otherwise agreed to, or as Exhibit D may be modified by a rate change, for all Customer-Approved billable hours for staff augmentation services rendered by Supplier during the term of this Agreement or as revised by paragraph 4.1.i.d below. Fees for any renewal of this Agreement shall be as mutually agreed by both parties. Supplier Resource must enter time into the timekeeping system of record, which is the VMS, on a weekly basis or as directed by the Contractor or Customer. In the event of a conflict between the invoice and the approved time within the VMS, the approved time within the VMS shall prevail.
Time and Materials Services. In the event that you notify us of a problem experienced in connection with the operation of the Software, we will respond as provided above. If the cause of such problem is not an error, defect or nonconformity in the Software, you must compensate us for all work performed by our personnel in connection therewith, on a time and materials basis at our then current standard rates, unless otherwise agreed by the parties in writing at the time, plus expenses. Expenses in excess of $500 require your prior approval.

(a) EDS may reasonably request on a purchase order the number and skill levels of Employees to perform Services.
(b) During the course of performance of Services, EDS may request replacement of an Employee or a proposed Employee. In such event, Chordiant shall use best efforts to provide, within five (5) working days of receipt of such request from EDS, a substitute Employee of sufficient skill, knowledge, and training to perform the applicable Services. If, after use of best efforts, Chordiant is unable to provide such substitute Employee, EDS may, at its sole option, retain the Services of said unacceptable Employee until such time as Chordiant provides an acceptable substitute Employee. If, within the first thirty (30) days after an Employee's commencement of Services, EDS notifies Chordiant (i) such Employee's level of performance is unacceptable, (ii) such Employee has failed to perform as required, or (iii) such Employee, in EDS' sole opinion, lacks the skill, knowledge or training to perform at the required level, then EDS shall not be required to pay for Services provided by such Employee during such period and Chordiant shall refund to EDS all amounts paid for such Employee's Services; however, EDS shall pay for any Work Product created by said Employee which EDS continues to use after the replacement of said Employee and if EDS decides to retain the services of said Employee because no acceptable substitute has been made available, then EDS shall pay for any services performed after the date of notice to Chordiant at a discounted rate mutually agreed to by the parties. If EDS requests replacement of an Employee for the above- referenced reasons after such thirty (30) day time period, or at any time for a reason other than the reasons indicated above, EDS shall not be required to pay for, and shall be entitled to a refund of, any sums paid to Chordiant for such Employee's Services after the date of EDS' requested replacement of such Employee.

Time and Materials Services a) On-Site Services. This agreement provides for Errors to be resolved remotely, however the parties may determine that on-site services are required. Upon the reasonable request of Customer, and agreeing to pay for such services on a time and materials basis, ImageSoft may provide on-site Services at Customer’s facilities in connection with the correction of Error(s). All on-site service requests must be made in writing. ImageSoft may require that Customer provide either a signed Purchase Order, or a signed Statement of Work agreement prior to providing on- site services.

In the event that Client notifies TIBCO of a problem experienced by Client in connection with the operation of the Covered Software, TIBCO shall respond as provided in Section III.B., above. Time and Materials Services. This Section describes the general Tasks and Deliverables to be completed by the Contractor on a time and material basis. A Task or Deliverable will be considered “complete” when all the acceptance criteria set forth in this SOW have been met. All written Deliverables shall be delivered in a format specified by the State. The weekly reporting must show actual resource hours worked against assigned Tasks and/or Deliverables and a description of completed Tasks or progress toward completion. Contractor will also report [weekly] to the State’s Project Manager its expected work effort the forthcoming week(s), showing each Named Resource’s expected level of effort. Prior review and authorization of each report by the State’s Project Manager is required to authorize any work by the Named Resource. Contractor shall submit invoices to the state not more frequently than [monthly] for the actual hours worked per week of the Named Resource identified in Table 3 or in the relevant Task Order. Each invoice must include resource names, dates of service, and the hours worked and approved for each date of service. The State will review and approve these invoices based on satisfactory work performance by each Named Resource, satisfactory completion of Tasks listed in Table 1 or in the relevant Task Order, and fulfillment of Metrics of Acceptance in this Agreement. Approved invoices will be payable by the State in accordance with the Authorizing Agreement and applicable payment terms in the Order Document to which this SOW is attached. The State shall withhold 10% from each payment as retainage. Upon completion of all work described in Table 1 in accordance with the prescribed project timeline, and to the satisfaction of the State, Contractor may submit a single invoice for the amount of retainage withheld.
Time and Materials Services. 5.1 At Blackboard‟s sole discretion, repair or maintenance may be made available to Customer at Blackboard‟s then current fees and applicable hourly minimums for Equipment which Customer has not paid the applicable maintenance or Blackboard has excluded in accordance with this Schedule.
5.2 Blackboard will provide Customer with an estimate for the provision of such services. Blackboard, at its sole discretion, will require either a Purchase Order or prior approval for the estimated fees prior to providing any repairs or maintenance in accordance with this section.
