Provision of Prospectus. BGB covenants with the Selling Broker that it will furnish to the Selling Broker, without charge to the Selling Broker, a conformed copy of the Registration Statement and such number of copies of the prospectus and any supplements or amendments thereto as the Selling Broker shall reasonably request for purposes of effecting sales of Shares on behalf of BGB. BGB further covenants with the Selling Broker that, if at any time when a prospectus is required by law to be delivered in connection with sales of Shares on behalf of BGB by the Selling Broker, BGB either determines or is notified by the Fund that an event has occurred or conditions exist as a result of which sales may not be made pursuant to the Registration Statement or it is necessary to amend or supplement the prospectus included in the Registration Statement in order to make the statements therein, in the light of the circumstances when the prospectus is delivered to a purchaser, not misleading, or it is necessary to amend or supplement the prospectus to comply with applicable law, BGB shall promptly inform the Selling Broker of such fact, whereupon the Selling Broker shall immediately cease sales of shares pursuant to the Registration Statement until such time, if ever, as BGB in its sole discretion advises the Selling Broker that sales may recommence either pursuant to the previously existing Registration Statement or pursuant to a revised Registration Statement and revised prospectuses delivered to the Selling Broker.

Provision of Prospectus. Not less than two (2) Trading Days (as defined in the Senior Convertible Notes) prior to the filing of the Resale Registration Statement or any related prospectus or any amendment or supplement thereto, furnish via email to the Buyers copies of all such documents proposed to be filed, which documents (other than any document that is incorporated or deemed to be incorporated by reference therein) will be subject to the review of the Buyers. The Company shall reflect in each such document when so filed with the SEC such comments regarding the Buyers and the plan of distribution as the Buyers may reasonably and promptly propose no later than two (2) Trading Days after the Buyers have been so furnished with copies of such documents as aforesaid.
Provision of Prospectus. The Company agrees to provide the Agents with such number of copies of the Registration Statement, including exhibits and all amendments thereto, and such number of copies of the Prospectus (including any amendments or supplements thereto) as the Agents may reasonably require in connection with the sale of the Notes.
Provision of Prospectus. Unless the securities the subject of this Stock Option are in the same class as securities which have been quoted on NASDAQ throughout the 12 month period immediately preceding the exercise date of the Stock Option without suspension for more than a total of 2 trading days during that period, the Company or its Australian subsidiary will provide the Optionee with a copy of the prospectus in relation to the Stock the subject of the Stock Option at no charge, within a reasonable time of a request from an Optionee.

  • Preparation of Prospectus Immediately following the execution of this Agreement, the Company will, subject to Section 3(b) hereof, prepare the Prospectus, which shall contain the selling terms of the Securities, the plan of distribution thereof and such other information as may be required by the 1933 Act or the 1933 Act Regulations or as the Representatives and the Company may deem appropriate, and, if requested by the Representatives, will prepare an Issuer Free Writing Prospectus containing the information set forth in Schedule II hereto and such other information as may be required by Rule 433 or as the Representatives and the Company may deem appropriate, and will file or transmit for filing with the Commission, the Prospectus in accordance with the provisions of Rule 430B and in the manner and within the time period required by Rule 424(b) (without reliance on Rule 424(b)(8)) and, if applicable, Rule 433(d), the Prospectus and any such Issuer Free Writing Prospectus.

  • Filing of Prospectus The Final Prospectus shall have been filed with the Commission in accordance with the Rules and Regulations and Section 5(a) hereof. No stop order suspending the effectiveness of the Registration Statement or of any part thereof shall have been issued and no proceedings for that purpose shall have been instituted or, to the knowledge of the Company or any Underwriter, shall be contemplated by the Commission.

  • Effect of Prospectus This Agreement is in all respects subject to statements regarding the sale and repurchase or redemption of shares made in offering Prospectuses of the Funds, which shall control and override any provision to the contrary in this Agreement.

  • Amendments and Supplements to the Registration Statement, Disclosure Package and Prospectus and Other Securities Act Matters If, during the Prospectus Delivery Period, any event shall occur or condition exist as a result of which the Disclosure Package or the Prospectus, as then amended or supplemented, would include any untrue statement of a material fact or omit to state any material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made or then prevailing, as the case may be, not misleading, or if it shall be necessary to amend or supplement the Disclosure Package or the Prospectus, or to file under the Exchange Act any document incorporated or deemed to be incorporated by reference in the Disclosure Package or the Prospectus, in order to make the statements therein, in the light of the circumstances under which they were made or then prevailing, as the case may be, not misleading, or if, in the reasonable judgment of the Ventas Entities or their counsel, it is otherwise necessary to amend or supplement the Registration Statement, the Disclosure Package or the Prospectus, or to file under the Exchange Act any document incorporated or deemed to be incorporated by reference in the Disclosure Package or the Prospectus, or to file a new registration statement containing the Prospectus, in order to comply with applicable law, including in connection with the delivery of the Prospectus, the Ventas Entities agree to (i) notify the Representatives of any such event or condition and (ii) upon reasonable notice to the Representatives and subject to Section 3(a) hereof, promptly prepare and file with the Commission (and use their commercially reasonable efforts to have any amendment to the Registration Statement or any new registration statement declared effective) and furnish to the Underwriters and to dealers, such amendments or supplements to the Registration Statement, the Disclosure Package or the Prospectus, or any new registration statement, necessary in order to make the statements in the Disclosure Package or the Prospectus, as so amended or supplemented, in the light of the circumstances under which they were made or then prevailing, as the case may be, not misleading or so that the Registration Statement, the Disclosure Package or the Prospectus, as amended or supplemented, will comply with applicable law.
