Common use of Public Disclosure of Agreement Clause in Contracts

Public Disclosure of Agreement. Notwithstanding the above Sections 19.4 and 19.5, the Contractor agrees that the Province will be at liberty to disclose all information contained in this Agreement, excepting only any Schedules or portions thereof that the Contractor has, prior to signing of this Agreement, established to the satisfaction of the Province, acting reasonably, contain information that: (a) would reveal trade secrets, or commercial, financial, labour relations, scientific or technical information of the Contractor; (b) is being supplied in confidence to the Province; and (c) if disclosed, could reasonably be expected to harm significantly the competitive position or interfere significantly with the negotiating position of the Contractor, (the “Sensitive Information”). In the event of a request under FOIP for access to any of the Sensitive Information, the Contractor will be given notice of the request pursuant to FOIP and will be given an opportunity to make representations as to why the information should not be disclosed. The Province acknowledges that the financial, commercial and technical information contained in the Contractor’s Proposal (including but not limited to the financial model contained therein) has been submitted to the Province in confidence.
