Common use of Publicity and Reports Clause in Contracts

Publicity and Reports. Seller and Buyer shall coordinate all publicity relating to the transactions contemplated by this Agreement, and no party shall issue any press release, publicity statement or other public notice relating to this Agreement, or the transactions contemplated by this Agreement, without obtaining the prior consent of both Seller and Buyer except to the extent that Buyer and its legal counsel in good faith conclude is required by applicable Law. Seller shall obtain the prior consent of Buyer to the form and content of any application or report made to any Governmental Entity that relates or refers to this Agreement.

The parties agree to issue a mutually agreed press release announcing the extent that Buyer and its legal counsel in good faith conclude is required by applicable Law. Seller shall obtain the prior consent transaction hereunder upon execution of Buyer this agreement to the form and content satisfy public filing requirements of any application or report made to any Governmental Entity that relates or refers to this AgreementBuyer.
