Common use of Publicity and Reports Clause in Contracts

Publicity and Reports. Seller and Buyer shall coordinate all publicity relating to the transactions contemplated by this Agreement, and no party shall issue any press release, publicity statement or other public notice relating to this Agreement, or the transactions contemplated by this Agreement, without obtaining the prior consent of Seller and Buyer except to the extent that independent legal counsel to Seller or Buyer, as the case may be, shall advise the other party to the effect that a particular action is required by applicable Law. Buyer and Seller shall obtain the prior consent of the other party to the form and content of any application or report made to any Governmental Entity that relates or refers to this Agreement.

Buyer and Seller shall obtain the prior consent of the other party Buyer to the form and content of any application or report made to any Governmental Entity that relates or refers to this Agreement.
