Publicity; Terms of Agreement. (a) The Parties agree that the terms of this Agreement are the Confidential Information of both Parties, subject to the special authorized disclosure provisions set forth in Section 12.2 and this Section 12.3. If either Party desires to make a public announcement or news release concerning this Agreement, such Party shall give reasonable prior advance notice of the proposed text of such announcement to the other Party for its prior review and approval [***] CONFIDENTIAL PORTIONS OF THIS DOCUMENT REDACTED AND SEPARATELY FILED WITH THE COMMISSION. (except as otherwise provided herein). The Parties agree that the public announcement of the execution of this Agreement will be made by a joint press release immediately following such execution. In the case of a public disclosure required by Law, the disclosing Party shall provide the other Party with a reasonable time to review and comment on such proposed disclosure, and in any event the reviewing Party shall not unreasonably withheld its approval of such proposed disclosure. Neither Party shall be required to seek the permission of the other Party to repeat any information regarding the terms of this Agreement that have already been publicly disclosed by such Party, or by the other Party, in accordance with this Section 12.3.

The Parties agree , such approval not to be unreasonably withheld, except that the public announcement of the execution of this Agreement will be made by a joint press release immediately following such execution. In in the case of a public disclosure press release or governmental filing required by applicable Law, the disclosing Party shall provide the other Party with a reasonable time such advance notice as it reasonably can and shall not be required to review and comment obtain approval therefor. A Party commenting on such a proposed disclosurepress release shall provide its comments, and in any event if any, within […***…] after receiving the reviewing Party shall not unreasonably withheld its approval of such proposed disclosurepress release for review. Neither Party shall be required to seek the permission of the other Party to repeat or disclose any information regarding the terms of this Agreement or any activities conducted pursuant hereto that have has already been publicly disclosed by such Party, or by the other Party, in accordance with this Section 12.37.4, provided such information remains accurate as of such time.
