Purchase and Sale Agreement Entered Before Call of Election. After the results of the Polling are made available and a preliminary decision is made to hold the Election, but in no event later than March 11, 2022, the Parties shall use their best efforts to negotiate and enter into a purchase and sale agreement (“PSA”) and related documents which shall describe the terms and conditions that govern the transfer of the Subject Property from the Landowners to City. Developer and Landowners acknowledge that although this Agreement requires the PSA to be approved by the City Council and executed by the Parties on or before March 11, 2022, the City cannot close escrow without the Tax being approved by sufficient votes and sufficient Bonds being sold to generate the funds necessary to pay the Purchase Price and other costs. The Parties expressly acknowledge that approval of the PSA can only occur at a public meeting of the Council and in compliance with all other requirements of law, including, without limitation, the California Environmental Quality Act (“CEQA”). In the event a mutually acceptable PSA cannot be negotiated, approved and executed by both Parties, either party my terminate this Agreement with notice of same to the other Party, in which case the City Council shall not be required to call the Election and the City shall not be required to purchase the Subject Property.
