PURCHASE OF MEMBER INTEREST. In exchange for the Member Interest, on the Closing Date, Purchaser shall: (1) pay to Seller in immediately available funds the amount of (x) $750,000 MINUS (y) the amount, if any, by which the Estimated Working Capital Deficit of the Company exceeds $22,000,000 (the "CASH PAYMENT"); (2) deliver to Seller a promissory note in the amount of (x) $750,000 PLUS (y) the amount, if any, by which the Estimated Working Capital Deficit of the Company is less than $22,000,000 (the "NOTE") (collectively, the amounts payable in the Cash Payment and the Note shall be the "PURCHASE PRICE"); (3) cause the Insurance Policy to be delivered to Seller; and (4) enter into the agreements as set forth in Article 9 hereof.   • Transfer of Membership Interest The Sole Member may Transfer any part or all of its rights and interest (including, but not limited to, its Capital Account) in the Company (each a “Membership Interest”) now owned or hereafter acquired to any Person, and the transferee of such Membership Interest shall become a Member of the Company.
