Purchaser Required Consents. The Purchaser Required Consents, the failure of which to obtain would prevent, materially delay or materially impair the Purchaser's ability to consummate the transactions contemplated by this Agreement, shall have been obtained.
Purchaser Required Consents. The Purchaser Required Consents shall have been obtained in all material respects.
Purchaser Required Consents. The Company shall have received copies of all of the Purchaser Required Consents, and all such Purchaser Required Consents shall be in form and substance reasonably satisfactory to the Company and shall be in full force and effect as of the Closing Date. In addition, the applicable waiting period required under the HSR Act and all similar Laws with respect to the Transactions shall have expired or have been terminated early.
Purchaser Required Consents. New York State Public Service Commission, Pennsylvania Public Utility Commission and New Jersey Board of Public Utilities determinations under Section 32(c) of the Public Utility Holding Company Act. Notice of Change of Status filed with the Federal Energy Regulatory Commission under Section 365.8 of the Regulations under the Federal Power Act. Release from lien of the Mortgage and Deed of Trust dated as of July 1, 1940 between the Seller and Guaranty Trust Company of New York, with The Chase Manhattan Bank as successor trustee. Consents of the issuer of Seller's Pollution Control Bonds listed on Schedule 2.4 to the extent required for any assumption of such Bonds by the Purchaser on or prior to the Closing in accordance with Section 2.4 hereof and consents, if any, required of any insurer of such Bonds in respect of any such assumption.
Purchaser Required Consents. The Purchaser Required Consents set forth in Section 4.2(c) of the Purchaser Disclosure Schedule shall have been obtained.

Purchaser Required Consents. Prior to the closing of the transactions contemplated by the Asset Purchase Agreement, AVTEAM is required to obtain (i) the consent and waiver of NationsBank, N.A. and the other syndicate lenders under AVTEAM's existing credit facility and (ii) the consent of the Federal Aviation Administration and Joint Aviation Authorities.
Purchaser Required Consents. Except as specified on SCHEDULE 3.3, no consent, order, authorization, approval, declaration or filing is required on the part of the Purchaser for or in connection with the execution, delivery or performance of this Agreement and the agreements, documents and instruments contemplated hereby, or the conduct of the Business by the Purchaser after the Closing (the "PURCHASER REQUIRED CONSENTS"). Without limiting the generality of the foregoing, the Purchaser Required Consents shall include (a) any and all local, state and federal licenses necessary to enable the Purchaser to operate the Acquired Facilities from and after the Closing and (b) the required certification by the appropriate Medicaid agencies and/or fiscal intermediaries necessary to enable Purchaser to xxxx and receive payment under the Medicaid program. The Purchaser has no reason to believe that all of the Purchaser Required Consents will not be obtained. Subject to obtaining the Purchaser Required Consents specified on SCHEDULE 3.3, the execution, delivery and performance of this Agreement and the other instruments, documents and agreements contemplated hereby by the Sellers will not result in any violation of, be in conflict with or constitute a default under, any law, statute, regulation, ordinance, agreement, contract, instrument, license, permit, authorization, judgment, decree or order to which Purchaser is a party or by which Purchaser is bound.
