Purchaser's Access To Sellers' Records. From and after Seller's execution and delivery of this Agreement, Sellers shall continue to provide Purchaser (or its designated representatives) full and complete access, upon reasonable advance notice to Sellers, to Sellers' employees, books and records, corporate offices and other facilities for the purpose of conducting such additional due diligence as Purchaser deems appropriate or necessary, in its discretion, in order to facilitate Purchaser's efforts to consummate the transaction provided for herein. Sellers hereby covenant and agree to reasonably cooperate with Purchaser in this regard. Other than the covenants set forth in the last sentence of Section 6.1(a) and the covenants set forth in Sections 6.2, 6.3 and 6.4 (which shall survive the Closing), all covenants of Sellers set forth in this Agreement shall lapse at, and be of no further force or effect following, the Closing.

Following Closing and through December 31, 2000, Seller will provide to Purchaser and its accountants access to its books and records for the years 1997 through 2000 as related to the Business for review and audit purposes, such review and audit to be conducted at Purchaser's expense, and Seller shall cooperate and use its reasonable efforts to have its accountants to cooperate therewith (at Purchaser's expense) and make their work papers available for this purpose.
