Common use of PURCHASER’S OFFICER’S CERTIFICATE Clause in Contracts

PURCHASER’S OFFICER’S CERTIFICATE. Purchaser shall have delivered to Shareholder an Officers' Certificate, dated the Closing Date, of Purchaser certifying to (a) the due adoption by the Board of Directors of the attached resolutions approving the execution and delivery of this Agreement, and the consummation of the Transactions and (b) the incumbency of the President, Secretary and other officers of Purchaser executing any of the Operative Documents.

Purchaser shall have delivered to Shareholder Sellers an Officers' Certificate, dated the Closing Date, of the Purchaser and CWII certifying to (a) the due adoption by the Board of Directors of the attached resolutions approving the execution and delivery of this Agreement, and the consummation of the Transactions and (b) the incumbency of the President, Secretary and other officers of the Purchaser and CWII executing any of the Operative Documents.
