PURPOSE AND IMPLEMENTATION. This Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for the purpose of increasing the understanding of the impact urban air mobility (UAM) operations will have on overall legacy aircraft operations and air traffic management (ATM) in complex airspace. Through detailed research, development, test and evaluation, data gathered will support recommendations for change to existing ATM procedure and or regulations thereby enabling limited routine operation of onboard piloted air mobility vehicles no later than 2028-2030, and a continuous evolution of increasing scale and greater integration of the National Airspace System (NAS). The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Nevertheless, Annexes may include an additional sentence to Article 8.C. (titled "Liability"), in standard approved form, which shall be applicable solely to the activities conducted under such Annex. Each Annex will detail the specific purpose of the proposed activity, responsibilities, schedule and milestones, and any personnel, property or facilities to be utilized under the task. This Umbrella Agreement takes precedence over any Annexes. In the event of a conflict between the Umbrella Agreement and any Annex concerning the meaning of its provisions, and the rights, obligations and remedies of the Parties, the Umbrella Agreement is controlling. This Agreement supports NASA’s 2022 Strategic Plan and Strategic Objective 3.2: Drive Efficient and Sustainable Aviation and Strategic Objective 4.2: Transform Mission Support Capabilities for the Next Era of Aerospace.

As part of this program, NASA expects to develop a number of technologies and air traffic management capabilities and expects to test them in a relevant environment as part of its technology transfer mission. The Lone Star UAS Center of Excellence and Innovation is one of seven designated FAA test sites and is a part of Texas A&M University-Corpus Christi (ATM) TAMUCC). LSUASC has been instrumental in complex airspace. Through detailed researchthe advancement of numerous NASA technologies such as UTM TCL 4, developmentSafe-to-Ditch, test and evaluation, data gathered will support recommendations for change to existing ATM procedure and or regulations thereby enabling limited routine operation of onboard piloted air mobility vehicles no later than 2028-2030ICAROUS, and others. In addition, as part of TAMUCC, LSUASC engages in research and technology development to support its mission and those of its clients such as NASA. This Agreement will enable NASA to leverage the resources of LSUASC to both develop and test technologies in a continuous evolution relevant environment, engage in joint basic and applied research in topics related to AAM, and to use LSUASC as part of increasing scale a technology transition avenue to industry. The Agreement will enable LSUASC to be a facilitator to NASA’s mission, as well as leverage NASA’s expertise to jointly develop key technologies and greater integration basic and applied research that can be applied directly to industry problems of the National Airspace System (NAS)its clients. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. Under this Umbrella Agreement, the various NASA Advanced Air Mobility (AAM) research and evaluation activities will also be collecting performance data, trajectory compliance data, vehicle robustness to contingencies, pilot work load, emergency procedures, simplified pilot functions and reduced training and certification requirements, airspace communications, ground operations, infrastructure needs, and so forth that are intended to build on new infrastructure standards, pilot/operator certification standards (e.g., with aircraft that have a high level of automation), and other standards. Additionally, the NASA Aeronautics Research Institute (NARI) may work with Xwing to explore and understand supply-chain issues that prohibit the use of increasingly- autonomous aviation systems for public benefit and affect the safety of the impact urban air mobility (UAM) operations operations. The proposed activity allows NASA MSFC to share manufacturing expertise which will help UTEP ensure that their robotic systems may perform OSAM processes. The UTEP Aerospace Center has extensive knowledge in collaborative robotic systems and have existing contracts to demonstrate their systems in an OSAM relevant environment.
