Common use of Purpose of Investment Clause in Contracts

Purpose of Investment. The Acquiror Company is acquiring the Company Shares to be acquired hereunder for its own account, for investment and not for distribution or resale to others. The Acquiror Company acknowledges the Company Shares cannot be sold or otherwise transferred unless either (a) the transfer of such securities is registered under the Securities Act or (b) an exemption from registration of such securities is available and the Company Shares will contain a legend to that effect. The Acquiror Company understands and acknowledges that the Company is under no obligation to register the Company Shares for sale under the Securities Act.
