Purposes of Company; Powers. The Company has been formed solely to (A) acquire and own (i) membership interests in the limited liability companies listed in Exhibit C attached hereto (each, a “Holding Company” and collectively, the “Holding Companies”) and (ii) membership interests, either directly or indirectly through the Holding Companies, in the limited liability companies listed in Exhibit D attached hereto (each, a “Property Owner” and collectively, the “Property Owners”). The Property Owners own that certain real property, together with all improvements located thereon, at the locations specified in Exhibit D attached hereto, and all fixtures, equipment, furnishings, supplies and other property used in connection therewith (each, a "Property"; the term “Property” shall mean either an individual Property or all of the Properties collectively, as the context may require), and (B) perform such activities as are necessary, incidental or appropriate in connection therewith.
