R ELATIVE IMPORTANCE. The evaluation factors include: Technical Capability (Factor 1), Past Performance (Factor 2), and Price (Factor 3). Of the three (3) factors, Factor 1, Technical Capability is more important than Factor 2, Past Performance; Factor 2, Past Performance, is more important than Factor 3, Price. Within the Technical Capability factor there are three subfactors; (A) Experience, (B) Manpower/Capability Resources, and (C) Organization/Management. These subfactors will be compared using the following order of importance: Subfactor (A) is more important than Subfactors (B) and (C) combined; and Subfactors (B) and (C) are of equal importance.

  • Return or Destruction of Confidential Information If an Interconnection Party provides any Confidential Information to another Interconnection Party in the course of an audit or inspection, the providing Interconnection Party may request the other party to return or destroy such Confidential Information after the termination of the audit period and the resolution of all matters relating to that audit. Each Interconnection Party shall make Reasonable Efforts to comply with any such requests for return or destruction within ten days of receiving the request and shall certify in writing to the other Interconnection Party that it has complied with such request.

  • Innovative Unit Scheduling Schedules other than those included in Articles 13.01 and 13.02 may be developed in order to improve quality of working life, support continuity of patient care, ensure adequate staffing resources, and support cost-efficiency. The parties agree that such innovative schedules may be determined locally by the Hospital and the Union subject to the following principles: (a) Such schedules shall be established by mutual agreement of the Hospital and the Union; (b) These schedules may pertain to full-time and/or part-time nurses; (c) The introduction of such schedules and trial periods, if any, shall be determined by the local parties and recorded in the Appendix of Local Provisions. Such schedules may be discontinued by either party with notice as determined within the Appendix of Local Provisions; (d) Upon written agreement of the Hospital and the Union, the parties may agree to amend collective agreement provisions to accommodate any innovative unit schedules.

  • Determination by Independent Firm In the event of any question arising with respect to the adjustments provided for in this Article 4 such question shall be conclusively determined by an independent firm of chartered accountants other than the Auditors, who shall have access to all necessary records of the Corporation, and such determination shall be binding upon the Corporation, the Warrant Agent, all holders and all other persons interested therein.
