Ranking of Loan. The obligations of the Company to the Banks under this Agreement and the Notes shall rank at least equal in seniority and priority with all other Unsecured Indebtedness of the Company and, in the event that any of such other Indebtedness shall be secured, the obligations to the Banks hereunder shall be secured likewise so as to continue to rank at least equal in seniority and priority with such other secured Indebtedness.
Ranking of Loan. The obligations of the Borrower hereunder rank and will rank at least pari passu in priority of payment and in all other respect with all unsecured and unsubordinated indebtedness of the Borrower other than as preferred by applicable statute.
Ranking of Loan. Except as permitted by Section 8.2. or as set forth in Schedule 3.18. attached hereto, no Indebtedness of the Company is secured by or otherwise benefits from any Lien on or with respect to the whole or any part of the Company's properties or assets, present or future. The Revolving Loans and other sums payable by the Company hereunder and under the Note rank at least equal in terms of seniority and priority with all Unsecured Indebtedness of the Company and at least pari passu with the Fleet Bank Credit Facility. There exists no default or event or condition which, with the giving of notice or passage of time, or both, would constitute a default under the provisions of any instrument evidencing such Indebtedness or of any agreement relating thereto.
Ranking of Loan. Except as permitted by Section 7.3. or as set forth in SCHEDULE 3.18. attached hereto, no Indebtedness of the Company is secured by or otherwise benefits from any Lien on or with respect to the whole or any part of the Company's properties or assets, present or future. The Revolving Loans and other sums payable by the Company hereunder and under the Notes rank at least equal in terms of seniority and priority with all Unsecured Indebtedness of the Company and at least pari passu with the Via Banque Credit Facility. There exists no default or event or condition which, with the giving of notice or passage of time, or both, would constitute a default under the provisions of any instrument evidencing such Indebtedness or of any agreement relating thereto.
Ranking of Loan. The Borrower shall ensure that at all times its obligations hereunder constitute and will constitute direct, unconditional, general obligations of such Borrower and rank and will rank at least pari passu with all unsecured and unsubordinated indebtedness of such Borrower, present and future.
Ranking of Loan. The Loan shall constitute direct, general, subordinated unsecured and unconditional obligations of the Company which rank pari passe among themselves and with other unsecured subordinated obligations of the Company.
Ranking of Loan. The obligations and liabilities of the BORROWER under this AGREEMENT and the NOTE are unconditional and general obligations of the BORROWER and rank at least pari passu with all other present or future unsecured and unsubordinated indebtedness of the BORROWER.
Ranking of Loan. This Agreement is the direct, unconditional and general obligation of Borrower. Borrower’s obligations hereunder rank and will rank at least pari passu in priority of payment and in all other respects with all other unsecured and unsubordinated indebtedness of Borrower except for those preferred by operation of law.
Ranking of Loan. The Loan and all other sums payable by the Borrower hereunder shall be unsecured obligations of Borrower which rank pari passu with all other unsecured Indebtedness of the Borrower.
Ranking of Loan. The Borrower's obligations under the Agreement and the Note rank and will rank at least pari passu in priority of payment and in all other respects with all other Indebtedness of the Borrower.
