Common use of Rate Quotes Clause in Contracts

Rate Quotes. Not later than five (5) Business Days after the Company shall have given MetLife a Request for Purchase pursuant to Section 2(b)(iii), MetLife may, but shall be under no obligation to, provide to the Company by telephone or telefacsimile, in each case between 9:30 a.m. and 1:30 p.m. New York City local time fixed interest rate quotes for the several principal amounts, maturities, principal prepayment schedules, and interest payment periods of Shelf Notes specified in such Request for Purchase (each such interest rate quote provided in response to a Request for Purchase herein called a "Quotation"). Each Quotation shall represent the interest rate per annum payable on the outstanding principal balance of such Shelf Notes at which MetLife or a MetLife Affiliate would be willing to purchase such Shelf Notes at 100% of the principal amount thereof.
