Ratification of Original Agreement. Except as modified by the terms of this Amendment, the Original Agreement is hereby ratified and confirmed in its entirety, and shall remain in full force and effect in accordance with its terms.
Ratification of Original Agreement. The amendment and restatement of the Original Agreement shall become effective on the Restatement Date. This Credit Agreement amends and restates the terms and conditions of the Original Agreement, and is not a novation of the Obligations incurred by the Borrower pursuant to the terms of the Original Agreement. Accordingly, all of the Obligations of the Borrower incurred pursuant to the terms of the Original Agreement, and all of the Liens previously created pursuant to the terms of the Security Documents, are hereby ratified and affirmed by the Borrower and remain in full force and effect. In furtherance of the foregoing, all Notes issued and unpaid Loans pursuant to the terms of the Original Agreement that remain unpaid on the Restatement Date shall remain in full force and effect and all references to the Original Agreement contained in the Notes are amended to refer to this Credit Agreement.
Ratification of Original Agreement. Except as set forth herein, all other terms and conditions of the Original Agreement are hereby ratified and confirmed in all respects.
Ratification of Original Agreement. Except as amended hereby, the Original ---------------------------------- Agreement remains unchanged and is ratified and confirmed in all respects.
Ratification of Original Agreement. As amended by this Second Amendment, the Original Agreement is in all respects ratified and confirmed, and the Original Agreement as so amended by this Second Amendment shall be read, taken and construed as one and the same instrument.
Ratification of Original Agreement. Except to the extent that the Original Agreement is modified or amended by this Amendment, the terms and provisions of the Original Agreement are hereby ratified and confirmed for all purposes and in all respects. The holders of the Series B Preferred Stock agree to be bound by the terms and conditions of the Original Agreement, as amended hereby, and are entitled to all of the rights and benefits thereof.
Ratification of Original Agreement. Except with respect to the matters expressly contemplated hereby, the Original Agreement shall continue in full force and effect in accordance with the provisions thereof, as in existence on the date hereof.
Ratification of Original Agreement. The Original Agreement and Loan Agreements, as expressly amended hereby, is ratified and affirmed by the Company and Esenjay, and remains in full force and effect.
Ratification of Original Agreement. Borrower hereby acknowledges that it is indebted to the Bank pursuant to the Original Loan Agreement in accordance with the terms thereof, as amended prior to the date hereof, and that there exists no defense, offset to, or claim in diminution or avoidance of, any of its liabilities and obligations pursuant to such Original Loan Agreement, as so amended. Borrower further ratifies and affirms the Original Loan Agreement, as amended previously and as amended and restated by this Second Amended and Restated Loan Agreement; agrees that there is no change or modification thereto, except as expressly provided herein; and agrees that the Original Loan Agreement, as amended previously and as amended and restated hereby, shall be and constitute the Loan Agreement, with the same effect as if this Agreement had been made on the date of the Original Loan Agreement, and not a novation thereof.
Ratification of Original Agreement. Debtor hereby ratifies and confirms the Original Agreement and ratifies, confirms, extends, pledges and re-pledges, grants and re-grants to Secured Party the security interest and Liens granted to Secured Party in the Collateral to secure payment of all Obligations, as described in the Original Agreement. Any reference to the Original Agreement in any other document shall be deemed to refer to this Agreement also. The execution, delivery and effectiveness of this Agreement shall not, except as expressly provided herein, operate as a waiver of any provision of the Original Agreement or any other document.
