Reaffirmation of Prior Agreements. Executive hereby acknowledges and agrees that the Executive is bound by certain confidentiality and non-solicitation covenants set forth in Section 9 of the Employment Agreement. Notwithstanding anything contained in this Agreement, Executive hereby reaffirms the covenants and provisions set forth in Section 9 of the Employment Agreement and acknowledges and agrees that the provisions of Section 9 of the Employment Agreement shall survive the termination of the Executive’s employment with the Company and shall remain in full force and effect.
Reaffirmation of Prior Agreements. You reaffirm your commitment under any prior agreements you signed with the Company, including the Employee Patent, Secrecy and Invention Agreement (“EPSIA”)/Employee Confidential Information and Invention Assignment Agreement (“ECIIAA”), and any successor thereto (all prior agreements you entered into with the Company, including the Equity Agreements as defined below, are collectively referred to here as the “Company Agreements”). As part of this Letter Agreement, you will comply fully with the terms of the Company Agreements. You also confirm that you have not violated any Company Agreements.
Reaffirmation of Prior Agreements. Xxxxxxx hereby acknowledges and agrees that Xxxxxxx is bound by certain confidentiality and non-solicitation covenants set forth in Sections 8 and 9 of the Employment Agreement. Notwithstanding anything contained in this Agreement, Xxxxxxx hereby reaffirms the covenants and provisions set forth in Sections 8 and 9 of the Employment Agreement and acknowledges and agrees that the provisions of Sections 8 and 9 of the Employment Agreement shall survive the termination of Xxxxxxx’x employment with the Company and shall remain in full force and effect.
Reaffirmation of Prior Agreements. Executive hereby acknowledges and agrees that Executive is bound by certain confidentiality and non-competition covenants set forth in Sections 10 and 11 of the Employment Agreement. Notwithstanding anything to the contrary contained in this Agreement, Executive hereby reaffirms the covenants and provisions set forth in Sections 10 and 11 of the Employment Agreement and acknowledges and agrees that the provisions of Sections 10 and 11 of the Employment Agreement shall survive the termination of Executive’s employment with the Company and shall remain in full force and effect. In addition, the Company and Executive acknowledge and agree that Executive has certain third-party beneficiary rights pursuant to that certain Settlement Agreement by and among Xxxxxx X. Xxx, Xxxxxxx X. Xxxxxx, Xxxxx X. Xxxxxx, among others, and the Company (the “Settlement Agreement”).
Reaffirmation of Prior Agreements. You reaffirm your commitment under any prior agreements you signed with the Company, including the Employee Patent, Secrecy and Invention Agreement (“EPSIA”)/Employee Confidential Information and Invention Assignment Agreement (“ECIIAA”), and any successor thereto (all prior agreements you entered into with the Company, including the Equity Agreements as defined below, but excluding your Executive Severance Agreement dated June 15, 2018 and your Change of Control Severance Agreement dated November 5, 2018, are collectively referred to here as the “Company Agreements”). As part of this Letter Agreement, you will comply fully with the terms of the Company Agreements. You also confirm that you have not violated any Company Agreements.
Reaffirmation of Prior Agreements. Executive agrees that he shall continue to be bound by the terms of the Proprietary Information and Inventions Agreement, other than Sections 7 and 11 of that agreement, as if he were an employee during the time he furnishes consulting services to Coinstar.
Reaffirmation of Prior Agreements. The parties acknowledge and agree that Consultant previously made certain representations, warranties and covenants with respect to (i) confidential information and (ii) competition and non-solicitation as set forth in Sections 5 and 6 of the Employment Agreement. Notwithstanding anything contained in this Agreement, Consultant hereby reaffirms the representations, warranties and covenants set forth in Sections 5 and 6 of the Employment Agreement and acknowledges and agrees that the provisions of Sections 5 and 6 of the Employment Agreement shall survive the termination of Consultant’s employment with the Company and shall remain in full force and effect and that Consultant shall be bound by their terms and conditions; provided that, the Restriction Period (as defined in Section 5(d) of the Employment Agreement) shall end on the date that is at the conclusion of 12 months following the termination of the Consulting Period. Notwithstanding anything to the contrary in this Agreement or Sections 5, 6, and 7 of the Employment Agreement, Consultant’s continuing confidentiality obligations under the Employment Agreement do not prohibit him from disclosing Confidential Information (as defined in the Employment Agreement) to a federal, state or local government official or to an attorney for the purpose of reporting or investigating a violation of law or in a court filing under seal. Accordingly, Consultant hereby acknowledges and understands that pursuant to the Federal Trade Secrets Act of 2016, he has been advised that he has immunity from being held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that (A) is made (i) in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney; and (ii) solely for the purpose of reporting or investigating a suspected violation of law; or (B) is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal.
Reaffirmation of Prior Agreements. Executive hereby acknowledges and agrees that the Executive is bound by certain confidentiality and non-solicitation covenants set forth in Section 9 of the Employment Agreement and certain noncompetition covenants set forth in the Noncompetition Agreement. Notwithstanding anything contained in this Agreement, Executive hereby reaffirms the covenants and provisions set forth in the Noncompetition Agreement and in Section 9 of the Employment Agreement and acknowledges and agrees that the Noncompetition Agreement and the provisions of Section 9 of the Employment Agreement shall survive the termination of the Executive’s employment with the Company and shall remain in full force and effect.
Reaffirmation of Prior Agreements. Bxxxxxxxxx hereby acknowledges and agrees that she is bound by certain non-compete, confidentiality, non-solicitation and other restrictive covenants set forth in Section 15 of the Employment Agreement. Notwithstanding anything contained in this Agreement, Bxxxxxxxxx hereby reaffirms the covenants and provisions set forth in Section 15 of the Employment Agreement and acknowledges and agrees that the provisions of Section 15 of the Employment Agreement shall survive the termination of Bxxxxxxxxx’x employment with the Company and the termination of the Employment Agreement, and shall remain in full force and effect.
Reaffirmation of Prior Agreements. Borrower acknowledges and --------------------------------- reaffirms the terms and conditions of all security interests previously granted to Lender and agrees they shall continue to secure all of the present Indebtedness and as restructured herein.
