Real Estate Agreements. GGP and Spinco shall enter into the Real Estate Agreements on or prior to the Plan Effective Date. To the extent that any representations, warranties, covenants or agreements between the parties with respect to the subject matters contemplated by the Real Estate Agreements are set forth in the Real Estate Agreements, such subject matters shall be governed exclusively by the Real Estate Agreements and not by this Agreement.
Real Estate Agreements. All matters relating to real ---------------------- property to be owned by a member of the NDC Group or the Global Payments Group and leased, occupied or shared by a member of the other of such groups after the Effective Time shall be governed by the Real Estate Agreements. In the event of any inconsistency between the Real Estate Agreements and this Agreement or the Real Estate Agreements and any other Ancillary Agreement, the Real Estate Agreements shall govern.
Real Estate Agreements. All matters relating to real ---------------------- property to be owned, leased, subleased, occupied, or shared by the Equifax Group or the Certegy Group after the Effective Time shall be governed by the Real Estate Agreements, except as may be expressly stated herein or therein, and except that Article VIII shall apply with respect to such matters to the extent otherwise applicable. In the event of any inconsistency with respect to such matters between the Real Estate Agreements and this Agreement or any Ancillary Agreement, the Real Estate Agreements shall govern to the extent of the inconsistency.
Real Estate Agreements. The transactions contemplated by the Real Estate Agreements shall have been consummated prior to or concurrently with the consummation of the Merger.
Real Estate Agreements. All matters relating to real property to be owned, leased, occupied or shared by the Equifax Group or the ChoicePoint Group after the Effective Time shall be governed by the Real Estate Agreements. In the event of any inconsistency between the Real Estate Agreements and this Agreement or any Ancillary Agreement, the Real Estate Agreements shall govern.
Real Estate Agreements. The Parties agree to negotiate in good faith with respect to the Real Estate Agreements, such negotiation to begin as soon as practical following execution of this Agreement. In the event the Parties fail to execute the Real Estate Agreements before August 31, 2007 either Party may terminate this Agreement (which will also result in the termination of all previously executed Related Agreements) and upon any such termination neither Party shall have any further liability to the other with respect to this Agreement or any Related Agreement.
Real Estate Agreements. Notwithstanding anything to the contrary in this Agreement or in any certificate or instrument delivered pursuant hereto, no representation or warranty is made herein as to whether any consents, approvals, waivers, agreements or actions of, or (with or without lapse of time) notice to, third parties (including Governmental Bodies), or fulfillment of any conditions, are needed in connection with the direct or indirect transfer of any of the right, title or interest of Seller in the Real Estate, or the operation by Buyer of the Business or the Real Estate after the Effective Time.
Real Estate Agreements. The transactions contemplated by the binding letters of interest of even date herewith relating to the sale, directly or indirectly, to the Buyer of the properties leased to the Company in Agawam, Massachusetts; Lebanon, Pennsylvania; Coppell, Texas; Lincolnshire, Illinois and Canton, Georgia (the "Real Estate Agreements") shall have been consummated prior to or concurrently with the consummation of the Merger.
Real Estate Agreements. There exists no default or breach any of the Repurchase Options, Use Restrictions and/or any ROFR, and, except as set forth on Schedule 5.03(a), no facts exist that are known to the Borrower which would trigger any of the Repurchase Options and/or any ROFR.
Real Estate Agreements. The Shareholders, or corporations owned by the Shareholders, shall have conveyed to Cobra the real estate described on Schedule 5.1.6 under terms acceptable to Key.
