Common use of Reasonable Assistance Clause in Contracts

Reasonable Assistance. The Party not enforcing or defending Licensor Patents shall (i) provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s reimbursement of any Out-Of-Pocket expenses incurred by the non-enforcing or non-defending Party in providing such assistance; and (ii) join the Action as a named party if it is required to file or maintain the Action.

Reasonable Assistance. The Party not enforcing or defending Licensor Patents shall (i) provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s reimbursement of any Out-Ofof-Pocket expenses Costs incurred by the non-enforcing or non-defending Party in providing such assistance; and (ii) join the Action as a named party if it is required to file or maintain the Action.
