Common use of Reasonable Assistance Clause in Contracts

Reasonable Assistance. The Party not enforcing or defending Sutro Patents, Product Patents, Sutro Platform Patents or Joint Patents, as applicable, shall provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s reimbursement of any reasonable Out-of-Pocket Expenses incurred on an on-going basis by the non-enforcing or non-defending Party in providing such assistance.

Reasonable Assistance. The Party not enforcing or defending Sutro PatentsBioInvent Patent, Product PatentsCASI Patent, Sutro Platform Patents or Joint Patents, as applicable, Patents shall provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s reimbursement of any reasonable Out-of-Pocket Expenses incurred [***] on an on-going basis by the non-enforcing or non-defending Party in providing such assistance.

The Party not enforcing or defending Sutro Patents, Product Patents, Sutro Platform Selecta Patents or Joint Patents, as applicable, Patents shall provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s reimbursement of any reasonable Out-out- of-Pocket Expenses pocket expenses incurred on an on-going basis by the non-enforcing or non-defending Party in providing such assistance.
