Receipt of Additional Documents. (a) The Purchaser shall have received a Guaranty duly executed and delivered by each Subsidiary of the Company organized under the laws of any state or the District of Columbia of the United States of America, other than such Subsidiaries that have previously executed the Guaranty; and (b) The Purchaser shall have received manually signed copies of the Senior Credit Agreement, the Subordination Agreement and the Security Agreement, each executed by the Company and all other parties thereto, which agreements shall be in full force and effect. (c) The Purchaser shall have received a Validity Agreement from Joseph A. Czyzyk in favor of the Purchaser.
