Common use of Receipt of Closing Documentation Clause in Contracts

Receipt of Closing Documentation. All documentation relating to the due authorization and completion of the sale and purchase hereunder of the Purchased Shares and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Purchaser of its obligations under this Agreement shall be reasonably satisfactory to the Vendors and the Vendors shall have received copies of all such documentation or other evidence as they may reasonably request in order to establish the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Vendors;

Receipt of Closing Documentation. All documentation relating to the due authorization and completion of the purchase and sale and purchase hereunder of the Purchased Shares and all actions and proceedings taken on or prior to the Closing Date in connection with the performance by the Purchaser of its obligations under this Agreement shall be reasonably satisfactory to the Vendors and their counsel, acting reasonably, and the Vendors shall have received copies of all such documentation or other evidence as they may reasonably request in order to establish the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Vendors;Vendors and their counsel, acting reasonably.

All documentation relating to the due authorization and completion of the sale and purchase hereunder of the Purchased Shares under this Agreement and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Purchaser of its obligations under this Agreement Agreement, shall be reasonably satisfactory to the Vendors Corporation, acting reasonably, and the Vendors Corporation shall have received copies of all such extra documentation or other evidence as they may reasonably request in order to establish the consummation of the transactions contemplated hereby by this Agreement and the taking of all corporate proceedings in connection therewith with such transactions in compliance with these conditions, conditions in form (as to certification and otherwise) and substance satisfactory to the Vendors;Corporation.

All documentation relating to the due authorization and completion of the sale and purchase hereunder of the Purchased Shares Assets under this Agreement and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Purchaser Vendor of its obligations under this Agreement Agreement, shall be reasonably satisfactory to the Vendors Purchaser, acting reasonably, and the Vendors Purchaser shall have received copies of all such documentation or other evidence as they it may reasonably request in order to establish the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Vendors;Purchaser acting reasonably.

All documentation relating to the due authorization and completion of the sale and purchase hereunder of the Purchased Units and the issuance of the Travelbyus Shares under this Agreement and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Purchaser of its obligations under this Agreement Agreement, shall be reasonably satisfactory to the Vendors Vendors, acting reasonably and the Vendors shall have received copies of all such documentation or other evidence as they the Vendors may reasonably request require in order to establish the consummation of the transactions contemplated hereby Transaction and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Vendors;, acting reasonably.

Receipt of Closing Documentation. All documentation relating to the due authorization and completion of the sale and purchase hereunder of the Purchased Shares and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Purchaser of its obligations under this Agreement shall be reasonably satisfactory to the Vendors Seller and the Vendors Seller's Counsel and Seller shall have received copies of all such documentation or other evidence as they may reasonably request in order to establish the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Vendors;Seller and Seller's Counsel.

All documentation relating to the due authorization and completion of the sale and purchase hereunder of the Purchased Shares and the termination of the Option under this Agreement and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Purchaser Company and the Vendors of its their respective obligations under this Agreement shall be reasonably satisfactory to the Vendors Purchaser (acting reasonably) and the Vendors Purchaser shall have received copies of all such documentation or other evidence as they it may reasonably request in order to establish the consummation of the transactions contemplated hereby by this Agreement and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Vendors;Purchaser acting reasonably.

All documentation relating to the sale and purchase of the Shares including the Closing relating to the due authorization and completion of the such sale and purchase hereunder of the Purchased Shares and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Purchaser Vendors of its their obligations under this Agreement shall be reasonably satisfactory to the Vendors Purchaser and the Vendors its counsel. The Purchaser shall have received copies of the Closing Documents and all such documentation or other evidence as they it may reasonably request in order to establish the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Vendors;Purchaser and its counsel.

The Sellers will have received copies of the Closing Documents required by the terms of this Agreement to be delivered on or before Closing and all such documentation or other evidence as they it may reasonably request in order to establish compliance with the terms and conditions of this Agreement, the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Vendors;Sellers and their legal counsel.
