The Seller will use its commercially reasonable efforts to obtain or cause to be obtained, prior to Closing, all consents, approvals and waivers that are required in connection with the Contemplated Transactions by the terms of any Contract relating to the Business, any Real Property Lease or any License, including the consents described in Schedule 3.4(b). (b) The Purchaser will co-operate in obtaining and providing notice related to to, as applicable, the Transaction Consents and the Required Consents, including providing information of the Purchaser as is reasonably requested by a third party, and will use its commercially reasonable efforts to obtain or provide notice related to, or cause to be obtained or notice to be provided related to, prior to Closing, the Required Consents. Despite the previous sentence, the Purchaser is under no obligation to pay any money to a third party (unless the Vendor agrees in writing to reimburse the Purchaser for such payment), incur any material obligations, commence any legal proceedings or offer or grant any material accommodation (financial or otherwise) to any third party in order to obtain, or provide notice related to, such Transaction Consents or Required Consents or take any action whatsoever that is not permitted by the CCAA Proceedings. For greater certainty, the Purchaser shall not condition any Required Consent on the party providing such Required Consent agreeing to new or amended terms that are more favourable to the Corporation under the Contract(s) subject to the Required Consent.

The Purchaser Parties will use commercially reasonable efforts to cooperate in obtaining such consents, approvals and waivers including providing information regarding the Purchaser and its Affiliates as is reasonably requested by a third party in order to grant its consent, approval or waiver. For greater certainty, the receipt of the consents, approvals and waivers set forth in Section 3.1(e) of the Disclosure Letter shall not be a condition to the Closing.
Request for Consents. (a) Vendor shall use its commercially reasonable efforts to seek and obtain, before Closing, all Key Consents, which Key Consents will be in writing and upon such terms as are acceptable to Purchaser, acting reasonably.
(b) Each Party shall coordinate and cooperate with one another in seeking the Key Consents, including providing any information in respect of Purchaser as reasonably requested by the counterparty from whom such Key Consent is sought, and shall provide prompt notification to the other Parties when any such Key Consent is obtained.
