Common use of Receipt of Closing Documentation Clause in Contracts

Receipt of Closing Documentation. All instruments of conveyance and other documentation and assurances relating to the purchase and sale of the Purchased Shares including, without limitation, share certificates (the “Closing Documents”) and all actions and proceedings taken on or prior to the Closing in connection with performance by the Vendors of their obligations under this Agreement shall be satisfactory to the Purchaser and its counsel, acting reasonably, and the Purchaser shall have received copies of all such documentation or other evidence as it may reasonably request in order to establish the consummation of the transactions contemplated under this Agreement and the taking of all corporate proceedings in connection with those transactions in compliance with this Section 6.1, in form and substance satisfactory to the Purchaser and its counsel.

Receipt of Closing Documentation. All instruments of conveyance and other documentation and assurances relating to the purchase and sale of the Purchased Shares including, without limitation, share certificates (the “Closing Documents”) and all actions and proceedings taken on or prior to the Closing in connection with performance by the Vendors Purchaser of their its obligations under this Agreement shall be satisfactory to the Purchaser Vendors and its their counsel, acting reasonably, and the Purchaser Vendors shall have received copies of all such documentation or other evidence as it each may reasonably request in order to establish the consummation of the transactions contemplated under this Agreement and the taking of all corporate proceedings in connection with those transactions in compliance with this Section 6.16.2, in form and substance satisfactory to the Purchaser Vendors and its their respective counsel.

All instruments of conveyance and other documentation and assurances relating to the sale and purchase and sale of the Purchased Shares including, without limitation, share certificates (the “"Closing Documents”") and all actions and proceedings taken on or prior to the Closing in connection with performance by the Vendors of their obligations under this Agreement shall be satisfactory to the Purchaser and its counsel, acting reasonably, and the Purchaser shall have received copies of all such documentation or other evidence as it may reasonably request in order to establish the consummation of the transactions contemplated under this Agreement and the taking of all corporate proceedings in connection with those transactions in compliance with this Section 6.1agreement, in form and substance satisfactory to the Purchaser and its counsel.

All instruments of conveyance and other documentation and assurances relating to the sale and purchase and sale of the Purchased Shares Assets including, without limitation, share certificates (the “Closing Documents”) bills of sale and other documentation, and all actions and proceedings taken on or prior to the Closing in connection with performance by the Vendors Vendor of their its obligations under this Agreement shall be satisfactory to the Purchaser and its their counsel, acting reasonably, and the Purchaser shall have received copies of all such documentation or other evidence as it may reasonably request in order to establish the consummation of the transactions contemplated under this Agreement and the taking of all corporate proceedings in connection with under those transactions in compliance with this Section 6.1Subsection 8(1)(c), in form (as to certification and otherwise) and substance satisfactory to the Purchaser and its counsel, acting reasonably.

Receipt of Closing Documentation. All instruments of conveyance and other documentation and assurances relating to the sale and purchase and sale of the Purchased Shares Assets, including, without limitation, share certificates (documentation relating to the “Closing Documents”) due authorization and completion of such sale and purchase, and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Vendors Vendor of their its obligations under this Agreement Agreement, shall be satisfactory to the Purchaser and its counselPurchaser, acting reasonably, and the Purchaser shall have received copies of all such documentation or other evidence as it may reasonably request in order to establish the consummation of the transactions contemplated under by this Agreement and the taking of all corporate proceedings in connection with those such transactions in compliance with this Section 6.1these conditions, in form (as to certification and otherwise) and substance satisfactory to the Purchaser and its counselPurchaser.
