Common use of Receipt of Closing Documentation Clause in Contracts

Receipt of Closing Documentation. All documentation relating to the sale and purchase of the Purchased Shares including the Closing Documents and relating to the due authorization and completion of such sale and purchase and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Buyer of its obligations under this Agreement shall be satisfactory to the Sellers’ Transaction Representative and its counsel. The Sellers’ Transaction Representative shall have received copies of the Closing Documents required to be delivered on or before Closing and all such documentation or other evidence as they may reasonably request in order to establish compliance with the terms and conditions of this Agreement, the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in form (as to certification and otherwise) and substance satisfactory to the Sellers and their counsel.

Receipt of Closing Documentation. All documentation relating to the sale and purchase of the Purchased Shares Acquired Assets and the Business, including the Closing Documents and relating to the due authorization and completion of such sale and purchase Documents, and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Buyer Purchaser of its obligations under this Agreement shall Agreement, will be satisfactory to the Sellers’ Transaction Representative Vendor and its legal counsel, acting reasonably. The Sellers’ Transaction Representative shall Vendor will have received copies of the Closing Documents required to be delivered on or before including the Closing Documents described in Section 3.3 and all such documentation or other evidence as they it may reasonably request in order to establish compliance with the terms and conditions of this Agreement, the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in form (as to certification and otherwise) and substance satisfactory to the Sellers Vendor and their its legal counsel, acting reasonably.

All documentation relating to the sale and purchase of the Purchased Shares including the Closing Documents and relating to the due authorization and completion by the Seller of such the sale and purchase hereunder of the Purchased Shares, and all actions and proceedings taken on or prior to the Closing in connection with the performance by the Buyer Seller of its obligations under pursuant to this Agreement Agreement, and the documentation provided to the Purchaser hereunder, shall be reasonably satisfactory to the Sellers’ Transaction Representative Purchaser and its counsel. The Sellers’ Transaction Representative , and the Purchaser shall have received copies of the Closing Documents required to be delivered on or before Closing and all such documentation or other evidence as they it may reasonably request in order to establish compliance with the terms and conditions of this Agreement, the consummation by the Seller of the transactions contemplated hereby and the taking of all corporate proceedings by the Seller in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance reasonably satisfactory to the Sellers and their counselPurchaser.

The Sellers’ Transaction Representative shall Purchaser will have received copies of the Closing Documents, including the Closing Documents required to be delivered on or before Closing described in Section 3.3 and all such documentation or other evidence as they it may reasonably request in order to establish compliance with the terms and conditions of this Agreement, the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in form (as to certification and otherwise) and substance satisfactory to the Sellers Purchaser and their its legal counsel, acting reasonably.

All documentation relating to the sale and purchase of the Purchased Shares including the Closing Documents and relating to the due authorization and completion of such the purchase and sale of the Purchased Shares, including the appropriate resolutions by the directors and purchase shareholders of the Corporation, and all actions and proceedings taken on or prior to the Closing Date in connection with the performance by each of the Buyer Vendors of its obligations their obligations, covenants and agreements under this Agreement shall be satisfactory to the Sellers’ Transaction Representative Purchaser and its counsel. The Sellers’ Transaction Representative , acting reasonably, and the Purchaser shall have received copies of the Closing Documents required to be delivered on or before Closing and all such documentation or other evidence as they it may reasonably request in order to establish compliance with the terms and conditions of this Agreement, the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Sellers Purchaser and their its counsel, acting reasonably.

Receipt of Closing Documentation. All documentation relating to the sale and purchase of the Purchased Shares including the Closing Documents and relating to the due authorization and completion of such the purchase and sale and purchase of the Purchased Shares and all actions and proceedings taken on or prior to the Closing Date in connection with the performance by the Buyer Vendors of its obligations their obligations, covenants and agreements under this Agreement , including but not limited to delivery of the Closing Financial Statements and all Exhibits hereto shall be satisfactory to the Sellers’ Transaction Representative Purchaser and its counsel. The Sellers’ Transaction Representative , acting reasonably, and the Purchaser shall have received copies of the Closing Documents required to be delivered on or before Closing and all such documentation or other evidence as they it may reasonably request in order to establish compliance with the terms and conditions of this Agreement, the consummation of the transactions contemplated hereby and the taking of all corporate proceedings in connection therewith in compliance with these conditions, in form (as to certification and otherwise) and substance satisfactory to the Sellers Purchaser and their its counsel, acting reasonably.
