Reciprocal Disclosures Clause Samples
Reciprocal Disclosures. The Parties agree that the Parties may reciprocally disclose and use PHI or EPHI for initial and continuing eligibility and compliance determinations related to the provision of benefits, for auditing and legal compliance purposes, and for compliance with laws, regulations, and rules related to the provision of services under this Agreement.
Reciprocal Disclosures. The Parties agree that the Parties may reciprocally disclose and use PHI or EPHI for initial and continuing eligibility and compliance determinations related to the provision of benefits, for auditing and legal compliance purposes, and for compliance with laws, regulations, and rules related to the provision of medical or drug benefits to persons who may be eligible for such benefits under the Medicare Prescription Drug Benefit Program, Part D, or other federal or State of Texas programs. COMMUNITY agrees:
a) to be bound by these provisions with regard to PHI or EPHI received from VENDOR;
b) to restrict access to such PHI or EPHI to COMMUNITY’s Chief Financial Officer, COMMUNITY’s Controller, COMMUNITY’s Compliance Officer, the ▇▇▇▇▇▇ County Attorney’s Office, and designated employees of COMMUNITY’s Benefits Department for legal and auditing services; and
c) to take disciplinary action against any employee whose willful act violates these provisions and results in an unlawful disclosure of PHI or EPHI.

Contractor agrees:
a) to be bound by these provisions with regard to PHI or EPHI received from the City;
b) to take disciplinary action against any employee whose willful act violates these provisions and results in an unlawful disclosure of PHI or EPHI.

Reciprocal Disclosures. SHINYAKU may provide OPTIMER TECHNICAL INFORMATION free of charge to specific SHINYAKU licensees and its sublicensees of the COMPOUND outside the TERRITORY, who hold license rights to the COMPOUND at the time of execution of this definitive License Agreement, including only ▇▇▇▇▇▇▇▇ ACRAF S.p.A., YuHan Corporation or Meiji Seika Kaisha, Ltd. ARTICLE 4

The Parties agree that the Parties may reciprocally disclose and use PHI or EPHI for initial and continuing eligibility and compliance determinations related to the provision of benefits, for auditing and legal compliance purposes, and for compliance with laws, regulations, and rules related to the provision of medical or drug benefits to persons who may be eligible for such benefits under federal or State of Texas programs. CHC agrees:
a) to be bound by these provisions with regard to PHI or EPHI received from AGENT;
b) to restrict access to such PHI or EPHI to CHC’s Chief Financial Officer, CHC’s Senior Vice President of Administration and Legal Affairs, CHC’s Compliance Officer, and designated employees of CHC’s Administrative Departments for legal and auditing services; and
c) to take disciplinary action against any employee whose willful act violates these provisions and results in an unlawful disclosure of PHI or EPHI.
Reciprocal Disclosures. Subject to the provisions of Section 7 (Confidentiality), and solely for the purposes of the Programs, each party, to the extent that it now has or hereafter obtains the right to do so, shall make available to the other party all Technology necessary to carry out their obligations under Sections 2.1, 2.2 and 2.

DEPARTMENT agrees:
1. to be bound by these provisions with regard to PHI or EPHI received from VENDOR;
2. to restrict access to such PHI or EPHI to the Harris County Auditor, the County Attorney’s Office, designated employees of Harris County’s Benefits Department for legal and auditing services, and authorized DEPARTMENT' personnel and designees; and
3. to take disciplinary action against any personnel whose willful act violates these provisions and results in an unlawful disclosure of PHI or EPHI.
