The Adviser shall maintain separate books and detailed records of all matters pertaining to Fund assets advised by the Adviser required by Rule 31a-1 under the 1940 Act (other than those records being maintained by any administrator, custodian or transfer agent appointed by the FundsFund) relating to its responsibilities provided hereunder with respect to the FundsFund, and shall preserve and may retain such records for the periods and in a manner prescribed therefore by Rule 31a-2 under the 1940 Act (the “Funds’ "Fund Books and Records”)") and as otherwise required by law. The Funds’ Fund Books and Records shall be available to the Board at any time upon request, shall be delivered to the Trust upon the termination of this Agreement and shall be available without delay during any day the Trust is open for business.
