Common use of Records of the Partnership Clause in Contracts

Records of the Partnership. (a) The General Partner shall keep or cause to be kept at the principal office of the Partnership appropriate books and records with respect to the Partnership’s business, including (without limitation) all books and records necessary to provide to the Limited Partner and Special General Partner any information, lists and copies of documents required to be provided pursuant to this Agreement. Any records maintained by the Partnership in the regular course of its business, including the record of the holders of Partnership Interests, books of account and records of Partnership proceedings, may be kept on or be in the form of punch cards, magnetic tape, photographs, micrographics or any other information storage device; provided, that the record so kept are convertible into clearly legible written form within a reasonable period of time. (b) Any former partner of the Partnership shall have a right to receive copies of all books and records of the Partnership pertaining to its terms as a Partner at the expense of the Partnership.
