Recovery Charge. Except where Customer validly terminates this Agreement or a Service in accordance with clause 11.3, 16.2 or 16.3, if this Agreement or a Service is terminated (i) prior to the Service Commencement Date or expiry of a Minimum Term or Renewal Term(s), or (ii) a Minimum Term expires before Customer achieves the Target Spend (where applicable), Customer shall pay Vodafone a Recovery Charge.
