Common use of Recovery of Litigation Expenses Clause in Contracts

Recovery of Litigation Expenses. In connection with any Action or proceeding between Seller, Purchaser and their respective Affiliates arising out of or related to this Agreement or any of the Ancillary Agreements, the prevailing party in such Action or proceeding shall be entitled to recover all of its costs and expenses in connection with such Action or proceeding, including, without limitation, all costs and expenses in investigating and prosecuting or defending such Action or proceeding, including, without limitation, reasonable fees and expenses of counsel, auditors and other consultants.
