REDEMPTION OF PRIOR SECURITY. The Security Agent or any Receiver may, at any time upon or after the occurrence of an Acceleration Event which is continuing, redeem any prior Security on or relating to any of the Charged Property or procure the transfer of that Security to itself, and may settle and pass the accounts of any person entitled to that prior Security. Any account so settled and passed shall (subject to any manifest error) be conclusive and binding on each Chargor. Each Chargor will on demand pay to the Security Agent all principal monies and interest and all losses incidental to any such redemption or transfer.

REDEMPTION OF PRIOR SECURITY. The Collateral Agent may redeem or take a transfer of any prior Security over the Securities and may agree the accounts of any person entitled to that prior Security. Such LO\3297205.8 agreed accounts shall be conclusive and binding on the Company. Any amount paid in connection with such redemption or transfer (including expenses) shall be paid on demand by the Company to the Collateral Agent and until such payment shall form part of the Secured Liabilities.
REDEMPTION OF PRIOR SECURITY. The Security Trustee may, at any time, redeem any Security Interest over the Assigned Assets having priority to the Assignment or procure the transfer thereof to the Security Trustee and may settle the accounts of encumbrancers. Any accounts so settled shall, in the absence of manifest error, be conclusive and binding on the Company. The Company shall, on demand, pay to the Security Trustee all principal moneys, interest, costs, charges, losses, liabilities and expenses of, and incidental to, any such redemption or transfer.
REDEMPTION OF PRIOR SECURITY. Where there is any security created over any of the Collateral which ranks in priority to the security created by this Agreement and: (a) the security created by this Agreement becomes enforceable; and (b) the holder of such other security takes any steps to enforce that security, the Collateral Agent or any Receiver may, at its sole discretion and at the cost and expense of MTIX, redeem, take a transfer of and repay the indebtedness secured by such other security. All amounts paid by MTIX or a Receiver under this Section will form part of the Secured Obligations.
REDEMPTION OF PRIOR SECURITY. (a) At any time when this Security is enforceable, the Security Agent may: (i) redeem any prior Security against any Security Asset; and/or (ii) procure the transfer of that Security to itself; and/or (iii) settle and pass the accounts of the prior mortgagee, chargee or encumbrancer; any accounts so settled and passed will be, in the absence of manifest error, conclusive and binding on the Chargor. (b) The Chargor shall pay to the Security Agent, promptly following demand, the costs and expenses reasonably incurred by the Security Agent in connection with any such redemption and/or transfer, including the payment of any principal or interest.

(b) Each Chargor shall, on demand of the Collateral Trustee, pay to the Collateral Trustee all the costs and expenses incurred by it in connection with any such redemption or transfer. (c) All the rights conferred by a prior charge upon the chargee or any receiver thereunder shall be exercisable by the Collateral Trustee or a Receiver in like manner as if the same were expressly included herein and the Collateral Trustee shall be entitled to exercise all the rights of a receiver appointed thereunder.

  • Payment of Securities Called for Redemption If notice of redemption has been given as above provided, the Securities or portions of Securities specified in such notice shall become due and payable on the date and at the place stated in such notice at the applicable redemption price, together with interest accrued to the date fixed for redemption, and on and after such date (unless the Company shall default in the payment of such Securities at the redemption price, together with interest accrued to such date) interest on the Securities or portions of Securities so called for redemption shall cease to accrue, and the unmatured coupons, if any, appertaining thereto shall be void and, except as provided in Sections 7.12 and 8.02, such Securities shall cease from and after the date fixed for redemption to be entitled to any benefit under this Indenture, and the Holders thereof shall have no right in respect of such Securities except the right to receive the redemption price thereof and unpaid interest to the date fixed for redemption.   • Optional Redemption of Notes Prior to the Par Call Date, the Company may redeem the Notes at its option, in whole or in part, at a redemption price (expressed as a percentage of principal amount and rounded to three decimal places) (the “Redemption Price”) equal to the greater of (i) (a) the sum of the present values of the remaining scheduled payments of principal and interest thereon discounted to the Redemption Date (assuming the Notes matured on the Par Call Date) on a semi-annual basis (assuming a 360-day year consisting of twelve 30-day months) at the Treasury Rate plus 25 basis points less (b) interest accrued to but excluding the Redemption Date; and (ii) 100% of the principal amount of the Notes; plus, in either case, accrued and unpaid interest thereon to the Redemption Date. Notwithstanding the foregoing, if the Notes are redeemed on or after the Par Call Date, the Company may redeem the Notes, in whole or in part, at any time or from time to time, at a Redemption Price equal to 100% of the principal amount of the Notes being redeemed plus accrued and unpaid interest thereon to the Redemption Date. Notwithstanding the foregoing, if the Redemption Date falls after a Record Date and on or prior to the corresponding Interest Payment Date, the Company will pay the full amount of accrued and unpaid interest, if any, on such Interest Payment Date to the Holder of record at the close of business on the corresponding Record Date (instead of the Holder surrendering its Notes for redemption). The Company shall not redeem the Notes pursuant to this Section 4.1 if on any date the principal amount of the Notes has been accelerated, and such acceleration has not been rescinded or cured on or prior to such date. The Company’s actions and determinations in determining the Redemption Price shall be conclusive and binding for all purposes, absent manifest error.
