References to Liquidation Plan. In connection with the Sale Transaction (as defined in the Purchase and Sale Agreement, dated as of March 16, 2010 (the “Purchase and Sale Agreement”), by and between the Company and Tiptree Financial Partners, L.P.), the Company filed with the SEC a Definitive Proxy Statement pursuant to which the Company’s stockholders approved the Sale Transaction and a termination of the Plan of Liquidation. Accordingly, all references to the implementation of the Plan of Liquidation in the Amended and Restated Management Agreement shall be disregarded and have no further force or effect; provided, however, the Manager’s portfolio management and other investment related services under the Amended and Restated Management Agreement shall be limited to the remaining Existing Investments.
