Common use of Reformulation Commitment Clause in Contracts

Reformulation Commitment. As of the Effective Date, Xxx X’Xxxx shall not manufacture, import, distribute, sell or offer the Products for sale in the State of California unless they are Reformulated Products pursuant to Section 2.1 above or carry the Proposition 65 warnings specified in Section 2.3 below.

Reformulation Commitment. As of the Effective Date, Xxx X’Xxxx Xxxxxxx International shall not manufacture, import, distribute, sell or offer the Products distribute for sale or sell in the State of California California, Products unless they are Reformulated Products or contain clear and reasonable warnings pursuant to Section 2.1 above or carry the Proposition 65 warnings specified in Section sections 2.3 and 2.4 below.

Reformulation Commitment. As of the Effective Date, Xxx X’Xxxx Import shall not manufacture, import, distribute, sell or offer the Products for sale in the State of California unless they are Reformulated Products pursuant to Section 2.1 above or carry the Proposition 65 warnings specified in Section 2.3 below2.1.

The parties acknowledge that Xxxxxxx’x commitment to reformulate the Products, in lieu of providing a clear and reasonable warning, is not the exclusive method of complying with Proposition 65 warnings specified 65. Xxxxxxx’x commitment to reformulate the product, such that no warning is required, was a material factor considered in assessing the civil penalty pursuant to Section 2.3 below.3.1
