Common use of Refund or Payment upon Termination Clause in Contracts

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx Alli Connect will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx Alli Connect in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve the Customer of its obligation to pay any fees payable to Xxxxxx Alli Connect for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx PARSABLE will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx PARSABLE in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx PARSABLE for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx WOOQER in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx WOOQER for the period prior to the effective date of termination. The Customer shall not be entitled to any refund or Annual License or any one-time fees for the unexpired period remainder of the Annual License in any circumstances.

Refund or Payment upon Termination. If this Agreement is terminated by Customer Client in accordance with the “Termination” section above, Xxxxxx Cappfinity will refund Customer Client any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx Cappfinity in accordance with the “Termination” section above, Customer Client will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable lawLaw. In no event will termination relieve Customer Client of its obligation to pay any fees payable to Xxxxxx Cappfinity for the period prior to the effective date of termination.

If Customer terminates this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx XXXXX.XX will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx XXXXX.XX in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx XXXXX.XX for the period prior to the effective date of termination.

If this Agreement is terminated by Xxxxxx CHEVIN in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx CHEVIN for the period prior to the effective date of termination.

In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx Leidos for the period prior to the effective date of termination.

If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx SecurityStudio will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx SecurityStudio in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx SecurityStudio for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx will Xxxxxxxxxx.xxx shall refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx Xxxxxxxxxx.xxx in accordance with the “Termination” section above, Customer will shall pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable lawForms. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx Xxxxxxxxxx.xxx for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Section 12(c) (Termination” section above), Xxxxxx VelocityEHS will refund Customer a pro-rata portion of any prepaid fees Fees covering the remainder of the term of all Customer Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx VelocityEHS in accordance with Section 12(c), VelocityEHS shall have the “Termination” section aboveoption, in its sole discretion, to invoice Customer will pay any for all unpaid fees Fees covering the remainder of the term of all Customer Order Forms to the extent permitted by applicable lawForms. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx Fees for the period prior to the effective date of termination.

If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx REVTWO will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx REVTWO in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx REVTWO for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx FIGJAM Inc will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx FIGJAM Inc in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx FIGJAM Inc for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx AUGINTEL will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx AUGINTEL in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx AUGINTEL for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx PASSFORT will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx PASSFORT in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx PASSFORT for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx Demoboost will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx Demoboost in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx Demoboost for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this the Agreement or any Order Form hereunder is terminated by Customer for cause in accordance with the “Section 10.2 (Termination” section above), Xxxxxx HITRUST will refund to Customer any prepaid fees covering the remainder of the term Term of all the applicable Order Forms after the effective date of terminationForm. If this the Agreement or any Order Form hereunder is terminated by Xxxxxx HITRUST in accordance with the “Section 10.2 (Termination” section above), Customer will pay any unpaid fees covering the remainder of the term of all such terminated Order Forms to the extent permitted by applicable lawForm(s). In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx HITRUST for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx ADVISORCONX will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx ADVISORCONX in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx ADVISORCONX for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx Finance My Deductible will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx Finance My Deductible in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx Finance My Deductible for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx PUSHTOPIC will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx PUSHTOPIC in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx PUSHTOPIC for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx Networcx will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx Networcx in accordance with the “Termination” section chapter above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx Networcx for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx will Xxxxxxxxxx.xxx shall refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx Xxxxxxxxxx.xxx in accordance with the “Termination” section above, Customer will shall pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable lawForms. In no event will shall termination relieve Customer of its obligation to pay any fees payable to Xxxxxx Xxxxxxxxxx.xxx for the period prior to the effective date of termination.

If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx XCEEDE will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx XCEEDE in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx XCEEDE for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx ENDGRATE will refund Customer any prepaid fees covering the remainder of the term of all Order Forms Orders after the effective date of termination. If this Agreement is terminated by Xxxxxx ENDGRATE in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms Orders to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx ENDGRATE for the period prior to the effective date of termination. If the Customer terminates this Agreement for any reason other than pursuant to Section 11.3, then the Customer will pay any unpaid fees covering the remainder of the term of all Orders irrespective of the termination.

If this Agreement is terminated by Xxxxxx PASSFORT in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx PASSFORT for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx ENLYT will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx ENLYT in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx ENLYT for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section 11.3 above, Xxxxxx QEEXO will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx QEEXO in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx QEEXO for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx DELIVERAIN will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx DELIVERAIN in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx DELIVERAIN for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx DMARCSAAS will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx DMARCSAAS in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx DMARCSAAS for the period prior to the effective date of termination.

Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx XXXXXXX will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx XXXXXXX in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx XXXXXXX for the period prior to the effective date of termination.
