Common use of Registered IP Clause in Contracts

Registered IP. Part 2.10(a) of the Disclosure Schedule accurately identifies: (i) each item of Company Registered IP in which the Company has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person or otherwise); (ii) the jurisdiction in which such item of Company Registered IP has been registered or filed and the applicable registration or serial number; and (iii) any other Person that has an ownership interest in such item of Company Registered IP and the nature of such ownership interest.

Registered IP. Part 2.10(a2.9(b) of the Disclosure Schedule accurately identifies: (ia) each item of Company Registered IP in which any of the Company Acquired Corporations has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person Person, or otherwise); (iib) the jurisdiction in which such item of Company Registered IP has been registered or filed and the applicable registration or serial number; and (iiic) any other Person that has an ownership interest in such item of Company Registered IP and the nature of such ownership interest. The Company has provided to Parent complete and accurate copies of all applications for each such item of Registered IP.

Part 2.10(a2.9(b) of the Company Disclosure Schedule accurately identifies: (i) each item of Company identifies and describes any Registered IP in which the Company has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person Person, or otherwise); (ii) the jurisdiction in which such item of Company Registered IP has been registered or filed and the applicable registration or serial number; and (iii) any other Person that has an ownership interest in such item of Company Registered IP and the nature of such ownership interest.

Part 2.10(a‎2.10(a) of the Disclosure Schedule accurately identifies: (i) each item of Company Registered IP in which the Company or any of its Subsidiaries has or purports to have an ownership interest of any nature (whether exclusively, jointly with another Person or otherwise); (ii) the jurisdiction in which such item of Company Registered IP has been registered or filed and the applicable registration or serial number; and (iii) any other Person that has an ownership interest in such item of Company Registered IP and the nature of such ownership interest.
