Registration of Vessels. The Borrower undertakes to maintain the registration of the Vessels under the flag indicated in Schedule 2, or such other flag requested by the Borrower and is consented to by the Banks (such consent not to be unreasonably withheld), for the duration of the Facility Period.
Registration of Vessels. On the Closing Date, each Vessel owned by the Company or the Guarantors has been duly registered in the name of the Company or the relevant Guarantor (as applicable) under the laws and regulations and flag of the nation of its registration and no other action is necessary to establish and perfect such entity’s title to and interest in any of the vessels as against any charterer or third party; and all such vessels are owned directly by the Company or such Guarantor free and clear of all material liens, claims, security interests or other encumbrances, other than Permitted Liens.
Registration of Vessels. Each of the Borrower and the Guarantor undertakes to procure the maintenance of the registration of the Vessels under the flags and ownerships indicated in Schedule 2 for the duration of the Facility Period unless otherwise approved by an Instructing Group in writing.
Registration of Vessels. The Borrower undertakes to maintain the registration of the Vessels under the Bermuda flag or any other flag reasonably acceptable to the Agent for the duration of the Facility Period.
Registration of Vessels. Maintain the registration of the Collateral Vessels under the flag indicated in Schedule 3.21, or such other flag (a) as may be determined by the Borrowers in good faith to be necessary (whether as a matter of local law or commercial requirements) to achieve the productive employment of such vessel or (b) otherwise, as requested by the borrower and consented to by the Administrative Agent acting on behalf of the Required Lenders (such consent not to be unreasonably withheld, delayed or conditioned).
Registration of Vessels. The Borrower undertakes to maintain the registration of the Collateral Vessels under the flag indicated in Schedule 11 (The Collateral Vessels), or such other flag requested by each Borrower and consented to by the Agent acting on behalf of the Majority Lenders (such consent not to be unreasonably withheld).
Registration of Vessels. Each of the vessels described in the Registration Statement, Time of Sale Information and the Prospectus as owned by the Company’s subsidiaries has been duly registered in the name of the relevant subsidiary (as applicable) under the laws and regulations and flag of the nation of its registration and no other action is necessary to establish and perfect such entity’s title to and interest in any of the vessels as against any charterer or third party; and all such vessels are owned directly by such subsidiary free and clear of all material liens, claims, security interests or other encumbrances, except such as are described in or contemplated by the Registration Statement, Time of Sale Information and the Prospectus. The Company does not own any vessels other than indirectly through its subsidiaries.
Registration of Vessels. The Owners undertake to maintain the registration of the Vessels under the flags indicated in Schedule 3 for the duration of the Facility Period or under Swedish flag or such other flag as the Agents may approve, acting reasonably, provided always that upon any change of flag, the relevant Owner delivers or procures the delivery to the Agents of a second priority mortgage over the relevant Vessel in a form reasonably acceptable to the Agents, together with a deed of covenants (if customary) and an opinion satisfactory to the Agents in relation to the registration of the Vessel and the new mortgage and such other matters as the Agents may reasonably require.
Registration of Vessels. The Borrowers undertake to maintain the registration of the Vessels under the Panamanian flag for the duration of the Facility Period.
Registration of Vessels. Each of the Borrower and the Guarantor undertakes to procure the maintenance of the registration of the Vessels under the flags and ownerships indicated in Schedule 3 for the duration of the Facility Period unless otherwise approved by the Agent.
