Reimbursement of Members. The Company or its subsidiaries shall pay or reimburse to NGP all reasonable direct and indirect costs and expenses incurred by NGP to the extent solely related to the Company, including legal fees and accounting fees.
Reimbursement of Members. The Company or its subsidiaries shall pay or reimburse to the RSP LLC Members and NGP all reasonable direct and indirect costs and expenses incurred by such Members in organizing the Company, including legal fees and accounting fees, and an “NGP Financing Fee” in an amount equal to 1% of its Capital Contributions as invested in the Company. The NGP Financing Fee shall be payable upon each date of NGP’s funding of a Capital Contribution to the Company in an amount equal to 1% of the aggregate amount funded to the Company by NGP on such date and at NGP’s option such fee may be deducted from the amount so funded.

Reimbursement of Members. Lipha shall use the total of any additional amounts allocated pursuant to the Percentage Method described in Section 4.1 to reimburse those Members which had the Tax Attributes to which such additional amounts are attributable.

The Company has previously paid to Xxxx Xxxxxx a transaction fee of $200,000 (the “Transaction Fee”). The Transaction Fee was funded by a contribution to the capital of the Company by NGP concurrently with the initial funding of NGP’s Capital Commitment pursuant to Section 3.1(b); provided, that the Members acknowledge that the amount paid by NGP with respect to the Transaction Fee shall not be treated as a Capital Contribution for purposes of determining whether the Tier I Payout, the Tier II Payout, the Tier III Payout, the Tier IV Payout or the Tier V Payout have been met, nor shall it be treated as a Capital Contribution for purposes of calculating the Sharing Ratios of the Members. Notwithstanding the provisions to Sections 4.1, 4.2 and 4.3 to the contrary, any deduction attributable to the payment of the Transaction Fee shall be specially allocated to NGP and NGP’s Capital Account shall be appropriately adjusted to reflect such allocation.
