Reimbursement to County and District. Except with respect to Betterments, the issuance of a Work Order shall obligate LACMTA to reimburse County and District, without any profit, in the manner provided by this Agreement. Unless the Internal Revenue Service and the California Public Utilities Commission issue regulations or rulings to the contrary, reimbursable costs will not include taxes purportedly arising or resulting from LACMTA's payments to County or District under this Agreement. A fixed price for certain Design and/or Construction by County or District may be established upon mutual agreement of the Parties, as set forth in the applicable Work Order. Any such fixed price shall include all applicable credits due pursuant to Article 8 with respect to such work.
