Relation to Master Lease. Without limitation of Section 14 below, Seller and Purchaser agree that the remedies described in this Agreement, (i) constitute remedies of the parties under this Agreement only in their respective capacities as Seller and Purchaser hereunder, (ii) shall not constitute, or be deemed to constitute, remedies under the Master Lease, (iii) shall not preclude any party to the Master Lease from exercising any right or remedy available to it under any of the Master Lease (even if remedies are enforced or collected upon under this Agreement), and (iv) shall not limit the damage remedies or other rights or remedies of any party to the Master Lease under the Master Lease (even if remedies are enforced or collected upon under this Agreement) and that the determination by Seller or Purchaser of whether or not, based upon the occurrence of certain events or the existence of certain circumstances, a default by the other party has occurred under this Agreement shall be made independently of, and have no bearing or impact upon, the determination by a party to the Master Lease of whether or not, based upon the same events or circumstances, a default by another party to the Master Lease has occurred under the Master Lease.

Relation to Master Lease. Except as expressly provided to the contrary herein and approved (or deemed approved) by Master Lessor: (1) this Sublease is, and shall at all times remain, subject and subordinate to all of the terms and conditions of the Master Lease, (2) Sublessee shall perform the obligations of Sublessor as tenant under the Master Lease, to the extent, but only to the extent, that Sublessee agrees to perform such obligations as provided in this Sublease with respect to the Premises and which accrue during the Term of this Sublease, and (3) Sublessee shall not commit or permit its Agents to commit on, in or about the Premises any act or omission which shall violate any of the terms or conditions of the Master Lease. Sublessee agrees and acknowledges that Sublessor shall not be responsible for the performance or the furnishing of any repair, replacement or other obligations or services regarding the Premises, the Building and/or the Project and their related appurtenances which are required to be performed or provided by Master Lessor under the Master Lease, and Sublessee agrees to look solely to Master Lessor for the performance of such obligations; provided that, upon the written request of Sublessee, Sublessor shall use all good faith efforts to enforce such obligations of Master Lessor under the Master Lease for the benefit of Sublessee (including without limitation, institution, at Sublessee’s request, of legal action to compel the Master Lessor’s performance), provided that Sublessee shall promptly reimburse Sublessor within ten (10) days after receipt of demand for all costs and expenses (including reasonable attorneys’ fees) reasonably incurred by Sublessor in connection with such enforcement efforts upon assignment to Sublessee of any rights Sublessor may have to collect such costs and expenses from the Master Lessor. Provided that Sublessor has performed all obligations required of Sublessor (i) as tenant under the Master Lease (except to the extent such obligations have been expressly delegated to Sublessee in this Sublease) and (ii) under this Sublease, Sublessor shall have no liability to Sublessee for any failure by Master Lessor to perform its obligations under the Master Lease, nor, except as expressly provided in this Sublease to the contrary, shall any such failure by Master Lessor excuse performance by Sublessee of its obligations under this Sublease.   • Master Lease A. All the obligations contained in the Master Lease conferred and imposed upon Sublessor (as Tenant therein) shall be borne by Sublessor and Sublessee in accordance with the Sublessor's Percentage and the Sublessee's Percentage, respectively, except as modified and amended by this Sublease, and all rights and privileges contained in the Master Lease conferred upon Sublessor (as Tenant therein), are hereby conferred and imposed upon Sublessee, to the extent of Sublessee's Percentage. Sublessor covenants and agrees it will make payment of the rentals reserved under the Master Lease as and when due, will perform Sublessor's insurance obligations under the Master Lease, and will otherwise fully and faithfully perform the terms and conditions of the Master Lease with respect to the Sublessor's Percentage. Sublessee covenants and agrees to otherwise fully and faithfully perform the terms and conditions of the Master Lease and the Sublease on its part to be performed. Neither the Sublessor nor Sublessee shall do or cause to be done any act which would or might cause the Master Lease, or the rights of Sublessor as tenant under the Master Lease to be endangered, cancelled, terminated, forfeited or surrendered, or which would or might cause Sublessor to be in default thereunder or liable for any damage, claim or penalty. Sublessee agrees, as an express inducement for Sublessor executing this Sublease, that if there is any conflict between the provisions of the Master Lease and this Sublease which would permit Sublessee to do or cause to be done any act which is prohibited by the Master Lease then the provisions of the Master Lease shall prevail.

  • Sublease Agreement Sublandlord and Subtenant hereby represent that a true and complete copy of the Sublease Agreement is attached hereto and made a part hereof as Exhibit A.

If an assignment cannot be made of any such leases, the Receiver may, in its discretion, enter into subleases with the Assuming Institution containing the same terms and conditions provided under such existing leases for such leased Bank Premises or other property. The Assuming Institution shall give notice to the Receiver within the option period of its election to accept or not to accept an assignment of any or all leases (or enter into subleases or new leases in lieu thereof). The Assuming Institution agrees to assume all leases assigned (or enter into subleases or new leases in lieu thereof) pursuant to this Section 4.6. If the Assuming Institution gives notice of its election not to accept an assignment of a lease for one or more of the leased Bank Premises within seven (7) days of Bank Closing, then, not withstanding any other provision of this Agreement to the contrary, the Assuming Institution shall not be liable for any of the costs or fees associated with appraisals for the Fixtures, Furniture and Equipment located on such leased Bank Premises.

  • Termination of Master Lease If the Master Lease terminates for any reason prior to the expiration or other termination of this Sublease, this Sublease shall terminate concurrently therewith without any liability of Sublandlord to Subtenant and, except for any Subtenant obligations hereunder arising on or prior to the termination of this Sublease, following Subtenant’s surrender in compliance with Section 4.2 hereof, Subtenant’s obligations hereunder shall terminate, except with respect to any indemnification or hold harmless obligations of Subtenant, which shall survive such termination.

  • Landlords’ Agreements, Mortgagee Agreements, Bailee Letters and Real Estate Purchases Each Credit Party shall use commercially reasonable efforts to obtain a landlord's agreement, mortgagee agreement or bailee letter, as applicable, from the lessor of each leased property, the mortgagee of each owned property and the bailee with respect to each warehouse, processor or converter facility or other location where Collateral is stored or located, which agreement or letter shall contain a waiver or subordination of all Liens or claims that the landlord, mortgagee or bailee may assert against the Collateral at that location, and shall otherwise be reasonably satisfactory in form and substance to Agent. After the Restatement Closing Date, no real property or warehouse space shall be leased by any Credit Party and no Inventory shall be shipped to a processor or converter under arrangements established after the Restatement Closing Date without the prior written consent of Agent, unless and until a satisfactory landlord agreement or bailee letter, as appropriate, shall first have been obtained with respect to such location. Each Credit Party shall timely and fully pay and perform its obligations under all leases and other agreements with respect to each leased location or public warehouse where any Collateral is or may be located. To the extent permitted hereunder, if any Credit Party proposes to acquire a fee ownership interest in Real Estate after the Restatement Closing Date, it shall first provide to Agent a mortgage, debenture, deed of trust or similar document granting Agent a first priority Lien on such Real Estate, together with a real property survey, local counsel opinion(s), and, if required by Agent, an environmental audit, mortgage title insurance commitment, supplemental casualty insurance and flood insurance, and such other documents, instruments or agreements reasonably requested by Agent, in each case, in form and substance reasonably satisfactory to Agent.
