Common use of Relationship with Others Clause in Contracts

Relationship with Others. The parties agree that the profitability and goodwill of the Company depend on continued amicable relations with its suppliers and customers, and the Employee: (a) except on behalf of the Company, will not approach for any reason, nor solicit any business of any kind from, any former, present or future customer of the Company; or (b) cause, request or advise any suppliers or customers of the Company to curtail or cancel their business with the Company. Nothing in Section 9(a) shall, after termination of the Employee's employment with the Company for any reason, prevent the employment of the Employee by a customer or supplier of the Company unless such employment violates Section 12(a) of this Agreement. This provision shall apply to any customers or suppliers of the Company during the three (3) year period prior to the termination of the Employee's employment or to Persons with an active proposal from the Company on the date of the termination of the Employee's employment. This provision shall apply for five (5) years after termination of the Employee's employment with the company if the termination is for Cause and for one (1) year if the termination is for any other reason.
