Relationship with Significant Customers. The Company has not received any written or oral communication or notice from any Significant Customer stating that, or otherwise has any reason the believe that, any Significant Customer (a) has ceased, or will cease, to use the products or services of the Company, (b) has substantially reduced, or will substantially reduce, the use of such products or services at any time, or (c) will otherwise materially and adversely modify its business relationship with the Company (whether as a result of the consummation of the transactions contemplated hereby or otherwise). “Significant Customer” means, with respect to the Company, the top 10 customers of the Company, as applicable, by dollar volume of sales, for the 4-month period ended on April 30, 2023 and the fiscal year ended December 31, 2022, as set forth on Schedule 3.21.

Relationship with Significant Customers. The Company has not received any written or oral communication or notice from any Significant Customer stating that such Significant Customer, or, to the Company’s knowledge, knows of any reason why such Significant Customer (except in connection with the termination of outstanding jobs upon their completion in the ordinary course or the expiration of existing contracts in accordance with their terms) (a) has ceased, or will cease, to use the products or services of the Company, (b) has substantially reduced, or will substantially reduce, the use of such products or services at any time or (c) will otherwise materially and adversely modify its business relationship with the Company. “Significant Customer” means any customer, or group of affiliated customers with whom the Company has annual contract(s) for services in excess of, or to whom the Company has made sales in excess of, $25,000 since January 1, 2006.
Relationship with Significant Customers. Neither the Company nor Subsidiary has received any written or oral communication or notice from any Significant Customer stating that, or otherwise has any reason the believe that, any Significant Customer (a) has ceased, or will cease, to use the products or services of the Company or Subsidiary other than in the Ordinary Course upon the expiration of any project or contract in accordance with its terms, (b) has substantially reduced, or will substantially reduce, the use of such products or services at any time other than in the Ordinary Course upon the expiration of any specific contract or project, or (c) will otherwise materially and adversely modify its business relationship with the Company or Subsidiary (whether as a result of the consummation of the transactions contemplated hereby or otherwise). “Significant Customer” means, with respect to each of the Company and Subsidiary, the top 10 customers of the Company or Subsidiary, as applicable, by dollar volume of sales, for the six-month period ended on June 30, 2021 and the fiscal year ended December 31, 2020, as set forth on Schedule 3.21. Notwithstanding the foregoing, such representation or warranty is not a guarantee of any specific forecast.

Relationship with Significant Customers. Except as set forth on Schedule 3.24, the Company has not received any oral or written communication or notice that any Significant Customer (a) has ceased or terminated, or will cease or terminate, its use of the products or services of the Company, (b) has materially reduced, or will materially reduce, its use of such products or services, (c) will cancel, terminate, or materially adversely change the terms (whether related to payment, price or otherwise) with respect to, purchasing products or services from the Company, or (d) will modify its business relationship with the Company in a manner materially adverse to the Company. “Significant Customers” means the top ten (10) customers of the Company by dollar/euro volume of sales, in each of the following periods: (i) the fiscal year ended June 30, 2023 and (ii) the five (5) -month period ended as of the Interim Financials Date. Schedule 3.24 sets forth the name of each Significant Customer and the dollar/euro volume of sales for each Significant Customer in each of such periods.

"Significant Customer" means any customer, or group of affiliated customers, from whom the Company or any Company Subsidiary has made or is reasonably expected to generate revenue in excess of $250,000 in any rolling 12-month period.
Relationship with Significant Customers. No Seller Party has received any written or oral communication or notice from any Significant Customer stating that, or otherwise has any reason the believe that, any Significant Customer (a) has ceased, or will cease, to use the products or services of any Seller Party or, after the Closing, Xxxxx’x Buyer, (b) has substantially reduced, or will substantially reduce, the use of such products or services at any time, or (c) will otherwise materially and adversely modify its business relationship with any Seller Party or, after the Closing, Xxxxx’x Buyer. “Significant Customer” means the top fifty (50) customers of the Business, as conducted by Xxxxx’x Seller, by dollar volume of sales, for the fiscal year ending December 31, 2019, as set forth on Schedule 3.24.
