Services During. Construction (SDC) 1. The Consultant shall coordinate and conduct a preconstruction conference with MTJ, the contractor, and subcontractors to review the project communication, coordination, and other procedures and discuss the contractor’s general work plan and requirements for the project. It is assumed the preconstruction conference will last 2 hours (travel time not included) and will be attended by the Project Manager 1 and Engineer 3. Travel and overnight accommodations will be necessary. 2. The Consultant shall issue change orders, field orders, or similar documents during construction as necessary to facilitate construction. 3 field orders and 2 change orders have been budgeted. 3. The Consultant shall receive and review the contractor’s requests for payment. The Consultant shall determine whether the amount requested reflects the progress of the contractor’s work and is in accordance with the contract for construction. The Consultant shall provide recommendations to MTJ as to the acceptability of the requests. Recommendations by the Consultant to MTJ for payment shall be based upon the Consultant’s knowledge, information, and belief from its observations of the work on site has progressed to the point indicated. Such recommendations do not represent that continuous or detailed examinations have been made by the Consultant to ascertain that the contractor has completed the work in exact accordance with the contract for construction; that the Consultant has made an examination to ascertain how or for what purpose the contractor has used the moneys paid; that title to any of the work, materials or equipment has passed to MTJ free and clear of liens, claims, security interests, or encumbrances. 3 pay requests have been budgeted. 4. The Consultant shall review the contractor’s submittals for general conformance with the design concept and general compliance with the requirements of the contract for construction. Such review will not relieve the contractor from its responsibility for performance in accordance with the contract for construction, nor is such review a guarantee that the work covered by the submittals is free of errors, inconsistencies, or omissions. 5 original submittal reviews and 2 resubmittal reviews have been budgeted. 5.   • Services During Certain Events In the event a third person begins a tender or exchange offer, circulates a proxy to stockholders, or takes other steps to effect a Change in Control, Executive agrees that he will not voluntarily terminate employment with Kaydon (or the Subsidiary then employing Executive) on less than three months written notice to the Chief Executive Officer of Kaydon, will render the services expected of his position, and will act in all things related to the interests of the stockholders of Kaydon until the third person has abandoned or terminated the efforts to effect a Change in Control or until a Change in Control has occurred.

  • Union Activity During Working Hours Solicitation of Union membership or collection or checking of dues will not be conducted during working time. The Company agrees not to discriminate in any way against any employee for Union activity, but such activity shall not be carried on during working time, except as specifically allowed by the provisions of this Agreement.

  • Outside Activities During Employment Except with the prior written consent of the Company, which shall not be unreasonably withheld, Executive will not, while employed by the Company, undertake or engage in any other employment, occupation or business enterprise that would interfere with Executive’s responsibilities and the performance of Executive’s duties hereunder, except for (i) reasonable time devoted to volunteer services for or on behalf of such religious, educational, non-profit and/or other charitable organization as Executive may wish to serve, (ii) reasonable time devoted to activities in the non-profit and business communities consistent with Executive’s duties, and (iii) such other activities as may be specifically approved by the Company. This restriction shall not, however, preclude Executive from owning less than one percent (1%) of the total outstanding shares of a publicly traded company, or employment or service in any capacity with Affiliates of the Company. As used in this Agreement, “Affiliates” means an entity under common management or control with the Company.

  • Time Off During Notice Period During the period of notice of termination given by the employer, an employee shall be allowed up to one day's time off without loss of pay for the purpose of seeking other employment. This time off shall be taken at times that are convenient to the employee after consultation with the employer.
