Release of Construction Phase Credit Facility. Notwithstanding any other provision of this Indenture or the other Bond Documents or the Construction Phase Credit Documents to the contrary, the Construction Phase Credit Facility Provider shall be entitled to the release and return of the Construction Phase Credit Facility on the Conversion Date. If Conversion does not occur, the Construction Phase Credit Facility shall remain in effect in accordance with its terms. All references to Xxxxxxx Mac and the Servicer shall be of no further force or effect and shall be disregarded for all purposes of this Indenture if Conversion does not occur.

Release of Construction Phase Credit Facility. Notwithstanding any other provision of this Indenture or the other Bond Financing Documents or the Construction Loan Documents to the contrary, the Construction Lender shall be entitled to the release and return of the Construction Phase Credit Facility (if issued and delivered to, and for the sole benefit of, Freddie Mac by the Construction Lender in accordance with the terms of the Construction Phase Financing Agreement) on the Conversion Date.

The Developer shall provide to, and coordinate with, Connecting Transmission Owner and NYISO with respect to proposed specifications for the excitation system, automatic voltage regulator, Large Generating Facility control and protection settings, transformer tap settings, and communications, if applicable.

  • Governing Law; Construction This Agreement and any claim, counterclaim or dispute of any kind or nature whatsoever arising out of or in any way relating to this Agreement (“Claim”), directly or indirectly, shall be governed by, and construed in accordance with, the laws of the State of New York. The section headings in this Agreement have been inserted as a matter of convenience of reference and are not a part of this Agreement.
