Release of the Mortgage. The Holder hereby irrevocably releases the Mortgage and agrees to execute and deliver or cause to be executed and delivered such instruments of satisfaction and reassignment as may be requested by the Company to effect such Release, including, for the avoidance of doubt, the Release of Deed of Trust and Release by Holder of the Evidence of Debt without Production of Evidence of Debt pursuant to § 30-00-000 (1) (a) and (3), Colorado Revised Statutes (the “Evidence of Release”), attached hereto as Exhibit A.

Release of the Mortgage. 5.1 When the Amount Owing has been fully paid and all obligations under the Mortgage have been performed, the Lender will at the Mortgagor's cost execute a document to:
Release of the Mortgage. After Party A fully and completely fulfill all of its obligations respectively under the Loan Agreement and this Agreement, the mortgage set over the Mortgage Assets under this Agreement shall be automatically released, or Party B may, at any time after the effective date, release the mortgage with prior written consent of Party B (“Release of the Mortgage”). Upon Release of the Mortgage, Party B shall cooperate with Party A to process cancellation of the mortgage registration and external security of the Mortgage Assets. Reasonable expenses occurring due to release of the Mortgage shall be borne by Party A.
Release of the Mortgage. When the Pledgors and the Company fulfilled all the obligations under the Main Agreements, the Pledgors shall cooperate with the Pledgee to release the pledge of the equity and the ABIC registration under request of the Pledgee.

  • Release of Liens The Lenders hereby irrevocably authorize the Administrative Agent, at its option and in its sole discretion, to release any Liens granted to the Administrative Agent by the Loan Parties on any Collateral (i) upon the termination of the all Commitments, payment and satisfaction in full in cash of all Obligations (other than the Contingent Obligations), and the cash collateralization of any outstanding Letters of Credit in a manner satisfactory to the Issuing Lender, (ii) constituting property being sold or disposed of if the Loan Party disposing of such property certifies to the Administrative Agent that the sale or disposition is made in compliance with the terms of this Agreement (and the Administrative Agent may rely conclusively on any such certificate, without further inquiry), and to the extent that the property being sold or disposed of constitutes 100% of the Capital Stock of a Subsidiary, the Administrative Agent is authorized to release such Loan Party from its obligations under the Security Documents, (iii) constituting property leased to a Loan Party under a lease which has expired or been terminated in a transaction permitted under this Agreement, or (iv) as required to effect any sale or other disposition of such Collateral in connection with any exercise of remedies of the Administrative Agent and the Lenders pursuant to Section 8. In addition, the Administrative Agent may in its discretion, release its Liens on Collateral valued in the aggregate not in excess of $10,000,000 during any calendar year without the prior written authorization of the Required Lenders. Any such release shall not in any manner discharge, affect, or impair the Obligations or any Liens (other than those expressly being released) upon (or obligations of the Loan Parties in respect of) all interests retained by the Loan Parties, including the proceeds of any sale, all of which shall continue to constitute part of the Collateral. At the request and sole expense of each Loan Party following any such release, the Administrative Agent shall deliver to such Loan Party any Collateral held by the Administrative Agent, and execute and deliver to such Loan Party such documents as such Loan Party shall reasonably request to evidence such release.

  • Release of Collateral Subject to Section 11.01 and the terms of the Basic Documents, the Indenture Trustee shall release property from the lien of this Indenture only upon receipt by it of an Issuer Request accompanied by an Officer’s Certificate, an Opinion of Counsel and Independent Certificates in accordance with TIA Sections 314(c) and 314(d)(1) or an Opinion of Counsel in lieu of such Independent Certificates to the effect that the TIA does not require any such Independent Certificates.

  • Release of Trust Estate (a) Subject to the payment of its fees and expenses pursuant to Section 6.07, the Indenture Trustee may, and when required by the provisions of this Indenture shall, execute instruments to release property from the lien of this Indenture, or convey the Indenture Trustee’s interest in the same, in a manner and under circumstances that are not inconsistent with the provisions of this Indenture. No party relying upon an instrument executed by the Indenture Trustee as provided in this Article VIII shall be bound to ascertain the Indenture Trustee’s authority, inquire into the satisfaction of any conditions precedent or see to the application of any monies.
