Common use of Reliance by Collateral Agent Clause in Contracts

Reliance by Collateral Agent. Collateral Agent shall be entitled to rely, and shall be fully protected in relying, upon any certification, notice or other communication (including those by telephone, telex, telegram, telecopy or e-mail) believed by it to be genuine and correct and to have been signed, sent or made by the proper Person, and upon the advice and statements of Agent Professionals.

Reliance by Collateral Agent. Collateral Agent shall be entitled to relyrely upon, and shall be fully protected in relyingnot incur any liability for relying upon, upon any certificationnotice, notice request, certificate, consent, statement, instrument, document or other communication writing (including those by telephoneincluding, telexbut not limited to, telegramany electronic message, telecopy internet or e-mailintranet website posting or other distribution) believed by it to be genuine and correct and to have been signed, sent or otherwise authenticated by the proper person. Collateral Agent also may rely upon any statement made to it orally or by telephone and believed by it to have been made by the proper Personperson, and upon the advice and statements of Agent Professionalsshall not incur any liability for relying thereon.

Reliance by Collateral Agent. The Trustee, as Collateral Agent Agent, shall be entitled to rely, and shall be fully protected in relying, upon any certificationwriting, notice or other communication (including those by telephoneresolution, telexnotice, consent, certificate, affidavit, letter, cablegram, telegram, telecopy telecopy, telex or e-mail) teletype message, statement, order or other document or conversation believed by it to be genuine and correct and to have been signed, sent or made by the proper Person, Person or Persons and upon the advice and statements of Agent Professionalslegal counsel (including, without limitation, counsel to the Issuer), independent accountants and other experts selected by the Trustee, as Collateral Agent.
